Penalties for breaches of S. 385 Banning order by banned NZ Company Director

In view of the growing numbers of New Zealand company directors, MPs and business leaders who have been convicted in the Courts for fraud, financial mismanagement, reckless trading and bribery; it is important that the penalties imposed by Judges on those convicted of such offences, be regularly reviewed, particularly in view of the financial suffering and social upheaval caused to shareholders, creditors and investors etc. by those responsible for such crimes.

Under s. 385 (1) of the Companies Act 1993, “the Registrar [of Companies] may, by notice in writing given to a person, prohibit that person from being a director or promoter of a company, or being concerned in, or taking part, whether directly or indirectly, in the management of, a company during such period not exceeding 5 years after the date of the notice as is specified in the notice. Every notice shall be published in the Gazette.”

Under S 373(4) of the Act, a person convicted of acting in contravention of a banning order notice issued under s. 385, is liable to imprisonment for a term not exceeding 5 years or to a fine not exceeding $200,000. Furthermore s. 386 sets out “Liability for contravening section 385 or section 385AA”

A person who acts in contravention of a notice under s. 385 or 385AA is personally liable to –

(a) a liquidator of the company for every unpaid debt incurred by the company; and

(b) a creditor of the company for a debt to that creditor incurred by the company—

while that person was so acting [against the banning order].

Why politicians need legal scrutiny – Opinion

[Corruption involving fraud, bribery etc  can only be rooted out among politicians when those with their fingers in the till are appropriately prosecuted and sentenced to ensure that full reparation is made. To be effective, this presupposes that enforcement agencies apply regular quality legal scrutiny involving the highest level of accounting standards to the use of tax-payers’ money. Thereby community standards can be upheld and the public good protected against injury].

“Politicians cannot be exempt from the laws they make, a point driven home more than once last week.

“Women’s Affairs Minister Pansy Wong, for example, had to resign from Cabinet after she confessed to violating the parliamentary rules intended to ensure that MPs don’t blur the lines between their public duties and their private interests.

“Yet on a regular basis, it transpired Wong had used her parliamentary travel perk to help pay for her husband’s travel costs on overseas trips, during which he conducted private business deals.

“This contradicted the crystal clear Speaker’s ruling that “no rebate is payable in respect of any travel undertaken by the member for private business purposes”.

“Wong will be allowed to repay the money involved, which could run to thousands of dollars.

“As some commentators pointed out, a beneficiary who misused the terms of their benefit eligibility for personal gain would almost certainly be prosecuted, as well as having to pay back the money – but as yet, there is no sign of the Wong affair being referred to the police.”

Michael Swann, Computer South Ltd and Checketts McKay Law

On 11 February 2010 Michael Andrew Swann was sentenced to 20 months jail for accepting $755,154 in bribes from long-term friend and business associate Robin Sew Hoy: the sentence to be served concurrently with his present jail sentence of nine and a half years for his part in defrauding the Otago District Health Board (ODHB) of $16.9 million.

Swann had pleaded guily to corruption (accepting bribes) in November 2009 and on 17 December 2009 he was convicted in a jury trial in the Dunedin High Court of a single charge laid against him under the Secret Commissions Act relating to 85 secret “kick-back” (inducement) payments he received from Sew Hoy. Ministry of Economic Development v John Malcolm Carr – case deferred to 28/09/2010

Neither John Malcolm Carr (photo links below) nor his attorney Alan Bevan McKay of Checketts McKay Law, Cromwell, appeared today at 10 am in Courtroom 2 of the Auckland District Court in the case Ministry of Economic Development v John Malcolm Carr . The case was initially set down for 12 August 2010 but was adjourned on that day until this morning, 31 August, at the request of Mr John M Carr (via an email sent to the Deputy Court Registrar through his lawyer Mr McKay on 12 August).

John M Carr, treasurer to arrested Orange County Mayoralty candidate and County Commissioner, Mildred Fernandez

ORANGE COUNTY, FLORIDA. — Documents released Friday show arrested Orange County Commissioner Mildred Fernandez, has been in trouble in the past over campaign finances. She was fined $2,000 for falsifying campaign finance records for her 2004 campaign. She gave three different versions to police investigators of how she collected one particular cash donation. Fernandez, who was standing for Mayor of Orange County, was arrested on April 16, 2010 on charges of racketeering, grand theft, bribery and accepting illegal campaign contributions, in a sting operation involving an undercover agent posing as a developer. Her treasurer/campaign accountant was John Malcolm Carr CPA, known as John M Carr CPA, from 1 October 2009 up until her arrest in April.
