A lot of interest has been generated following the publication of the Society’s summary diagram on the US corporation Carr Consulting P.A. in our December Newsletter (see below). We’ve been asked for details on the two North Shore, Auckland properties owned by Kinetiq Ltd, directed by John Malcolm Carr and owned by Velocity Partners Ltd. The latter is owned by Carr Consulting P.A. We are very happy to oblige and provide this publicly listed information. The two properties are:
Liquidators receive complaints regarding Steve Crow’s Erotica Lifestyles Expo 2009 operated by Eden Digital Ltd.
The Liquidator of four companies directed by Steve Crow, Lloyd J Hayward of Meltzer Mason Heath, received complaints from creditors regarding Erotica Lifestyles Expo 2009 operated by Eden Digital Ltd, a porn company directed by Crow and US based tax consultant and property developer John Malcolm Carr. Mr Carr is Principal of Carr Consulting P.A. (Professional Association) based in the US, which owns four NZ registered companies that he directs. The Expo promoting hard core porn & sleaze was held at the ASB Auckland Showgrounds from 25-27 September 2009.
Lloyd J. Haward, in his 6 monthly Liquidator’s Report on Malibu Media (formerly Erotica Expo Ltd) dated 30/11/09 , records that the complaints from creditors were “referred to the National Enforcement Unit at the Ministry of Economic Development.” This is where the Society, which is not a creditor, has lodged its formal complains against the actions of company directors Crow and Carr. Porn King Steve Crow, Vixen Direct Ltd, Phoenix Companies and Criminal Sanctions
The Companies Act 1993 defines a phoenix company as being, in relation to a failed company, a company that at any time before or within five years after the commencement of the liquidation of a failed company, is known by a name that is also a pre-liquidation name of a failed company or is a similar name. When phoenix company arrangements are established in which the new company created bears a similar name, similar assets and similar management structure to a failed company, the purposes of such companies are usually part of a scheme either to circumvent obligations to creditors of the failed company (avoid debts owed) or to mislead the public into believing they are dealing with the same entity as previous, possibly as part of an attempt to mislead creditors of the previous company.

ASB Showgrounds host Porn Promo Sleaze and Steve Crow’s Insolvent Erotica Expo
The Society has raised serious concerns directly with ASB Showgrounds CEO Mark Frankham and his management team over their decision to allow the venue to be hired by an insolvent hardcore porn promo company – Erotica Expo Ltd – that was placed into liquidation on 27 May 2009 under the name Malibu Media Ltd. In a hostile move designed to stiffle freedom of expression, its former director Porn King Steve Crow threatens to throw any person out of the porn sleaze ASB venue who dares to record any image using a camera, video or pxt phone; and threatens to strip them of any electronic device film/memory card, should such images be recorded. The Society’s letter has yet to be answered by the management board which the Society has been informed has met to consider its concerns and will do so again on Monday next week. Management will be aware that it is a serious breach of the Companies Act 1993 for a company director to attempt to carry on trading when his company is in liquidation and/or use the name of an unregistered company for the purposes of trading.
