John Malcolm Carr – Porn Company Director linked to Steve Crow misses Court

American Director misses Court date – by Michael Field – Stuff News. 12/08/2010

An American company director facing eight charges under the Financial Reporting Act failed to appear in the Auckland District Court yesterday [11 August]

The charges were laid by the Ministry of Economic Development (MED) enforcement unit against John Malcolm Carr [see photo links below], whose date of birth is listed as unknown. His address was given as a Remuera, Auckland, apartment but MED says it has not been able to contact him there or at any stage in its inquiry into his activities. Unusually, Carr could not be located to serve summons on and they were received by his Cromwell lawyer, Alan [Bevan] McKay [partner in Checketts McKay Law].

Carr’s company listings were first challenged by the Wellington based Society for the Promotion of Community Standards who questioned the commercial relationship between Carr and pornographer Stephen Crow who runs the “boobs on bikes” parades. The two have shared directorships on companies. The society questioned whether MED was adequately monitoring the internet based company registration system.

The charges against Carr were laid in the District Court yesterday but Carr and Mr McKay were not present before the registrar. During a brief hearing Mr McKay contacted the court by email to advice that they would not be present and was granted an adjournment to appear before a judge on August 31.

He was charged with failing to submit financial reports for two years running over Velocity Partners, PJ Digital, First Virtual Deposit and Nominee and Shelf Company No 10.

If convicted on a charge Carr can be fined up to $100,000. Carr says on a website johnmcarr.com that he was born in the US but grew up in New Zealand. He claims that in 1995 as a director of New Zealand Petroleum he changed its direction to enter health care facilities for the elderly.

Shelf Company No 10 claims to have purchased 80 hectares of “iconic coast line” property in Pakiri, north of Auckland.

John M Carr – porn company director – next step in criminal case

The Deputy Registrar of the Auckland District Court has set down John Malcolm Carr’s next hearing on eight charges laid against him by the Ministry of Economic Development (MED) under the Financial Reporting Act 1993, as 10 AM Tuesday 31st August 2010. The matter which has raised considerable media interest was dealt with this morning in Courtroom 5. See photos of John Malcolm Carr:

[Updated 13/08] John M Carr who the MED has failed to make contact with or serve papers on since July last year, despite their best efforts, failed to turn up to Court.  His lawyer, Alan Bevan McKay, a partner in Cromwell-based Checketts McKay Law, also failed to turn up.  Mr McKay contacted the Court by email during the morning to say that neither he nor his client would be appearing and asked for an adjournment until 31st August when his client – so he said – would be pleading guilty to all eight charges brought against him (source: case manager and Stuff News article. Steve Crow porn giveaway linked to porn company collapses?

Stephen (Steve) Peter Crow remains listed on the Companies Office website as the sole director of two porn companies – Vixen Publications Ltd and Sidefx Ltd, despite the fact that he was banned from directing any company for four years by the Ministry of Economic Development (MED) – effective from 16 April 2010. Mr Crow was personally served with the banning order by the National Enforcement Unit (NEU) of the MED on the 14 May as reported on TV 3 News Nightline (19 May) and resigned on 15 May as director from all four of the companies he directed, including the two named above. However, the management and shareholders of Vixen Publications Ltd and Sidefx Ltd have failed to appoint a replacement director within 20 working days of the banning order, as is required under the Companies Act 1993. The NEU has therefore given both companies until 5 pm today (Thursday 12 August) to appoint a new director. If they fail to do so the Companies Office will take immediate steps to remove the companies from the register.

It is not surprising that Steve Crow tried to give away $250,000 of porn DVD vouchers yesterday in his Queen Street lunchtime porn parade that was approved by a permit issued to him and his brother David Bruce Crow by the Auckland City Council, as a representatives of Eden Digital Ltd. With the imminent removal of Vixen Publications Ltd and Sidefx Ltd from the Register of Companies, an action which cannot occur without all their creditors being notified, it would appear to be in Crow’s interests to dispose of these company’s porn assets by a transfer to Eden Digital Ltd. However, if the porn DVDs being given away are indeed the property of Eden Digital Ltd, then how come a banned director is organising a very public promo for Erotica Lifestyles Expo on behalf of Eden Digital Ltd and giving away $250,000 of products from that same company?

The porn stars, Eden Digital Ltd employees and hangers-on giving away the porn vouchers yesterday, did so in deliberate violation of the Auckland City Council permit restrictions and by-laws that allowed them to run the street event. As they are illegal vouchers it is pointless for any member of the public to try and redeem them at the forthcoming Erotica Lifestyles Expo run by Steve Crow, because a strong police presence is expected, to ensure the R18 restrictions are enforced at the entry point to the event and monitor the sex acts to be performed within. They will be able to observe any illegal disposal of $250,000 of hardcore porn by Mr Crow. With the extensive CCTV monitoring of the entire ASB Showgrounds, as put in place by Eden Digital Ltd, it would be very unwise for so-called red blooded kiwi males or anyone else to try to use these illegal vouchers. Police are entitled to seize CCTV footage at any time.

Banned Company Directors prone to hubris, humbug and hooliganism

When a company director is prohibited by the Registrar of Companies under section 385 (3) of the Companies Act 1993 from taking part in any matter relating to the directing or management of any company for four years , the Registrar must take action when such a director publicly disregards this prohibition and brazenly flouts the law. Such a director “commits an offence and is liable on conviction to the penalties set out in section 373(4) of this Act…. A person convicted of an offence for failure to comply with the Act… is liable to imprisonment for a term not exceeding 5 years or to a fine not exceeding $200,000.” [Read more…]
