Possible extended director ban for businessman following court conviction

The Registrar of Companies is making the rare bid of extending the statutory company director ban of a convicted businessman to 10 years due to the seriousness of his offending.

And just when he thought his days in court were over, he’ll be back next month to hear the Registrar of Companies application to have his statutory five year ban from being a director of a company extended to 10 years. [Read more…]

Porn: all in the family – an ‘industry’ not worth crowing about

HWGA Company Ltd owns 40% of CVC Group Ltd which in turn owns the hardcore porn promoting company Eden Digital Ltd that was involved last year in the Boobs of Bikes city street events staged in Auckland and Hamilton.  Prior to being personally served a four year banning order by the Ministry of Economic Development on 14 May 2010 (effective from 16 April 2010), Mr Stephen (Steve) Peter Crow, was a director of all these three companies which are involved in the hardcore porn industry, as well directing four other companies that were put into liquidation.

On 26 May 2011, Steve Crow, currently a banned company director, used a company key for HWGA Company Ltd and went on line on the Companies Office website (www.companies.govt.nz) and entered his sister Leanne Marie Osborn of 9 Richmond Street, Fizroy, New Plymouth, as a 50% shareholder of the company. She is a director of the company, appointed on 15 May 2010, the day after her brother Steve resigned as director, following his receipt of the banning order. [Read more…]

NZXescorts website owned by defunct company

The New Zealand Domain Name Commission Policy (see: www.dnc.org.nz) requires that all website domain name owners record the true name of the registrant (the legal owner) and this must be a legal “Person” – either an individual person or a legally constituted Person/entity (e.g. a registered company or Society).

On Sunday 5 June the NZ Herald published a story about a banned company director who is promoting a “new business” (prostitution) which has a website (named in the NZ Herald) involving an escort agency (prostitution) directory. However, the website domain name, first registered on  21 March 2011, is listed as being owned by a defunct company – Truth Publications Ltd – a company which was struck off the Register of companies on 25 February 2011.  It was put into liquidation on 21 October 2009 and the auditor’s report showed it owed over $600,000 to creditors. Therefore AFTER Truth Publications Ltd was struck off, the NZXescorts domain name was registered to it. The registrant’s email is given as dermott@truth.co.nz (Dermott Malley was one of two directors of the now defunct company).

The banned director is reported to be planning to stage an Auckland City hardcore pornography promo event on 24 September 2011 to promote his escort agency business.

The Registrar of Companies, the Manager of the National Enforcement Unit of the Companies Office and the senior officials of the Ministry of Economic Development, will no doubt be very interested to learn about those who may have deliberately supplied false information pertaining to companies to those administering public registers.

Banned company director promotes new business venture

One week after pleading guilty to directing a company while banned, porn magnate Steve Crow has announced a new business venture. [Crow is listed as a “disqualified director” on the Companies Office website www.companies.govt.nz – banned for four years under s. 385 of the Companies Act 1993 from promoting, directing or managing any company].

Crow launched an online escort directory, [pornographic website link deleted] on Friday.

[The domain name of the website registered on 21 March 2011, is owned by Truth Publications Ltd, a company struck off the Registrar of Companies on 25 February 2011. The Registrant contact for the website is listed as former Truth Publications CEO Demott Malley Tel. dermott@truth.co.nz. See www.dnc.org.nz.]

He [Crow] plans to promote it [the website owned by a defunct company – Truth Publication Ltd] with a second Boobs on Bikes down Queen St on September 24 – the day the All Blacks take on France in the Rugby World Cup at Eden Park.

Crow said escorts listed on the website would be bodypainted with rugby jerseys in New Zealand and French sporting colours.

The next Boobs on Bikes is scheduled for August 4.

Crow said he may not seek a permit from Auckland Council for the second parade.

He maintained his involvement as a “marketing consultant” in the new venture did not contravene his director ban. “I’m not running it. David Crow my brother is. He’s the CEO.”

Companies Office responds to Inquiry about banned company director Bernard Whimp
