Stephen (Steve) Peter Crow appointed his brother David Bruce Crow of Inglewood and his sister Leanne Marie Osborn of Fitzroy, New Plymouth, as directors of HWGA Company Ltd – effective 15 May 2010. HWGA Co. Ltd currently owns 705,000 shares (40.38%) in CVC Group Ltd – a porn ‘mother company’ from which Steve Crow resigned as director effective 15 May 2010. Leanne Marie Osborn, who with her husband Larry Charles Osborn, owns 3,000 CVC Group Ltd shares, will now be serving the role of co-director of HWGA Co. Ltd along side her brothers Steve and David – an all the family affair in would appear – helping the shrinking porn industry. (Four porn companies owned by CVC Group Ltd and directed by Steve Crow have recently been placed in liquidation owing unsecured creditors and the IRD hundreds of thousands of dollars).
There is no record on the Companies Office website of Leanne Marie Osborn having ever held the position of company director. Her brother David Bruce Crow is currently sole director and owner of one other company – Ezisoft Computer Systems Ltd and sole director and joint owner of another – 435 Devon Ltd – which own the New Plymouth RSA building (see below).
Ezisoft owns 12,000 shares in Buildwise Ltd which which was put into liquidation on 3 July 2009, while it was under the sole directorship of David Crow. The First Liquidation Report on the company indicated that it owed unsecured creditors $380,000 and IRD $33,100. (Larry Charles Osborn, David Crow’s brother-in-law, was director of Buildwise Ltd [In Liq] from 6 April 1997to 31 January 2001 before in was put into liquidation).
David Crow is currently the sole director of 435 Devon Ltd which is 50% owned by Steve Crow, 40% by David Crow and 10% by David’s wife Carolyn Crow. While HWGA Co. Ltd was co-directed by Steve Crow and his ex-wife Senior Sergeant Gaylene Sharon Rogers (she resigned on 16 July 2009), it owned 4,999 shares in 435 Devon Ltd (over a period between 30/04/08 to 17/12/08). This was a period during which Steve Crow, then co-director of HWGA Co. Ltd, was appointed by his brother David as director of 435 Devon Ltd. Steve Crow was appointed by David on 25 February 2008 and resigned on 12 November 2008. One month after the resignation company director David Bruce Crow filed “Particulars of Share Parcels Transfers” on 17 December 2008 showing that all the 435 Devon Ltd shares owned by HWGA Co Ltd (4,999 shares) had been transferred to Steve Crow and Steve currently still owns them all (5,000 in total).
On 25 February 2008 the sale and purchase agreement was signed between the New Plymouth & Districts’ Returned and Services’ Association Incorporated – the owners of 435 Devon Street, and 435 Devon Limited – the current proprietor (It was purchased for $1.9 million). Although Steve Crow affirms that he was appointed as Director on this day (his signature alongside the date 25/03/08 is on the Director’s Consent Certificate), he could not act in any formal/official capacity as director on this day because his Consent Certificate had not as yet been lodged with the Registrar (It was not filed with the the Companies Ofice until 30 April 2008).
The Crow bothers as company directors raised a $395,000 first mortgage with PMIT Nominees Ltd to purchase the RSA property on 21 November 2008 (settlement day) and their company entered into a legally binding confidential financial arrangement with the former RSA owners who have left a large amount of equity – about $1,577,000 – in the property as a second mortgage @ 6% interest (Source: NPRSA Society’s Financial Statement Year ending 30/06/09).
Is porn funding-directorship an all in the family affair? Who knows?
However, there will be little to crow about when as the National Business Review (22 & 28/05/09) put it “Porn King Steve Crow’s empire shrinks” or, if as it was reported in the followed week, “Porn King Steve Crow’s empire shrinks further“. We are now just one year down the track since those authoritative predictions were expressed. Are the crows are circling? If so, for what?
