John Clancy: Claimed ownership of Global Group Holding Ltd and Global Homes Ltd

Companies Office Records show that there has never been a company by this name “Global Group Holding NZ Ltd” registered in New Zealand.

However there is one company called Global Group Holdings NZ Ltd (Co. No. 2314973) that was incorporated on 8 September 2009. Its founding sole director was John Edward Clancy who remains its sole director.

His residential address is recorded on the company’s 2015 Annual Return filed by his accountant Richard Somerville (Walker Townsend Ltd) as 91 Kingsley Street, Sydenham, Christchurch, 8023, New Zealand.  This is a false residential address as the property is in a commercial-business zone (classed non-residential).

Companies Office records show that Global Group Holdings NZ Ltd (Co. No. 2314973) has been owned by a Trust – set up by Richard Townsend Somerville’s trustee service company Clancy Trustee Company Ltd (formerly called Somerville Gp Trustee Co. Ltd, since 30 November 2011.

The Trust has two trustees: John Edward Clancy and his wife Youngmee Clancy – both recorded as currently residing at 91 Kingsley Street, Sydenham 8023, New Zealand (which as noted is a false residential address).

Contrary to his claim, John Edward Clancy does not personally own Global Group Holding NZ Ltd (which does not exist as noted), nor Global Group Holdings NZ Ltd. The latter entity is owned jointly by a Trust of which John Edward Clancy is one of two trustees, both holding shares on behalf of beneficiaries (unnamed on the register). Clancy Trustee Company is the other joint owner (with the Trust) and its director – Richard Somerville – holds one share. This company’s registered office and address for service is Level 5, 64 Khyber Pass Rd, Grafton, Auckland, 1023 , New Zealand.

John Edward Clancy owned Global Group Holdings NZ Ltd from 8 September 2009 when the company was incorporated until 30 November 2011, at which time ownership was transferred to the Trust as noted above.

John Edward Clancy claims he is currently an owner and director of Global Homes Ltd. He incorporated this company (No. 2280020) on 8 July 2009 and remains its sole director. He changed its name to LF Holdings Ltd on 28 May 2014. He currently owns (individually) only 5% of the company shares. The remaining 95% he holds jointly as a trustee of the “Clancy Trust” which was set up by his accountant Richard Townsend Somerville. Clancy Trustee Company Ltd, owned and directed by Richard Somerville, is a trustee of the “Clancy Trust”, along with John Clancy and his wife Youngmee Clancy.

John Clancy – Public Profile – Qualifications and employment claims challenged

John Edward Clancy has created a Public Profile summarising his claimed “27 years and 5 months experience”. It contains a number of questionable and erroneous claims. The Profile states:

FALSE CLAIMS  – Re: “Global Group New Zealand Ltd”

New Zealand Companies Office Records prove there never has been a NZ registered company called “Global Group New Zealand Ltd“.  However, two companies have been named “Global Group NZ Ltd” :

  • Global Group NZ Ltd – Co. No. 1795177 that was incorporated on 28 March 2006, but was struck off the register of companies on 23 July 2008 (at least five months before Clancy claims he began working (January 2009) as an “Operations Manager” for the non-existent “Global Group New Zealand” ! Co. No. 1795177 had three Korean directors: Seong Woo Cho, Geong Sik Lee and Hyung Kuen Son. Geong Sik Lee owned all the company shares.
  • Global Group NZ Ltd – Co. No. 5286701 that was incorporated on 23 June 2014 and which remains on the Register. This company has no involvement with the building construction business whatsoever.

Other than the two listed above, no other companies have been incorporated in NZ with the same name..

The list of “responsibilities” Clancy states he performed as Operations Manager of a non-existent limited liability company, is open to serious challenge.

CLAIMS Re: Masters Degree 

John Clancy claims to have a Master’s degree in Business Administration and Management at Paramount California University awarded in December 2014.

Lieff Cabraser Legal has been investigating allegations that Paramount California University (PCU) is a diploma mill, issuing worthless degrees to American and international students.

The PCU website (http://www.pcu.edu/) has been shut down due to the online degree scam findings and the fact that the ‘University’ has no accreditation.

In order for accreditation to have any meaning, it is important that  an online college’s accrediting agency be recognized by the Council on  Higher Education Accreditation (CHEA) or the U.S. Department of  Education.

PCU’s claimed accreditation on the CHEA website is false. Its claim to have received a Bronze level award from the USDLA is false as it is not on the USDLA website.

CLAIMS QUESTIONED.

No company by the name “JEC Joinery Installations Ltd” has ever been registered in New Zealand based on Companies Office records.

Prior to coming to New Zealand Clancy was involved in failed companies in the UK. A Director’s Report based on his registered UK address, states:

Director Overview John Clancy holds 0 appointments at 0 active companies, has resigned from 1 companies and held 4 appointments at 3 dissolved companies. So what level of quality due diligence did officials at Housing NZ undertake before awarding contracts to John Clancy directed companies to rebuild housing in Christchurch followingt he earthquakes there?

Very little it would seem.

The Christchurch Press reported on 12 April 2014: “John Clancy, of Global Group, which has built apartments in Riccarton … is doing more in Linwood, Waltham and Edgeware.”

Housing New Zealand officials will no doubt try and play down the financial debacle that is unfolding in Christchurch involving companies directed by John Edward Clancy, arguing that only a tiny fraction of the total houses rebuilt involve him and/or his companies. Already one of his companies involved in the rebuild has been put into liquidation owing over one million dollars to creditors

John Edward Clancy: His trust’s money used to pay his company creditors (?)

John Edward Clancy recently ceased his role as director of Renovation Masters Auckland Ltd and Future Proof Building Ltd on 12 June 2015 and 15 June 2015, respectively, according to documents filed on these dates with the Companies Office. Two other documents show that Clancy appointed Riani Suhandi as a director of both companies on 1 May 2015. Suhandi signed the Consent and certificate of director for both companies on 11 June 2015 and since Clancy’s removal from both, has remained the sole director of both. These are the first companies Suhandi has ever been director of and Suhanhi has never owned shares in a NZ registered company. The residential address of Suhandi is recorded on incorporation documents as Flat 18, 126 Nursery Road Linwood Christchurch 8011.

Both of the Director Consent forms signed by Suhandi and uploaded on 12 June 2015, state at the bottom: “Completed By: John Edward CLANCY 87 Byron Street Sydenham Christchurch 8023 NZ.” This is NOT a residential address and Clancy has never resided here for the property is in a strictly a commercial-business zoned district.

The last Annual Return filed for Renovation Masters Auckland was on 4 March 2015 and it records the residential address of John Edward Clancy as 91 Kingsley Street, Sydenham, Christchurch, 8023, New Zealand. This too is not a residential address. It is a commercial-business zoned unit and  Clancy has never resided at this address.

Renovation Masters Auckland is one of five companies 100% jointly-owned by (a) a family trust of which John and his wife Youngmee Clancy are trustees, and (b) the trustee company directed by Richard Somerville – Clancy Trustee Company Ltd.

The most recent Annual Return filed by Somerville for Future Proof Building was on 1 August 2014 and it records the residential address of John Edward Clancy as 64 Khyber Pass Road, Grafton, Auckland, 1023 , New Zealand   This is not a residential address. It is the office address, located in a commercial-business zoned area, of Clancy’s accountant – Richard  Townsend Somerville of Walker Townsend Ltd 

Future Proof Building is one of 17 companies 100% jointly owned by (a) FJ40 Trust – of which John Edward Clancy is the sole trustee, and (b) a trustee service company directed by Richard Somerville – FJ40 Trustees Ltd.

On 7 July 2015 the Christchurch Press reported:

“Property records show [John Edward] Clancy and his trustee company, FJ40 Trustees Ltd, bought a 2 hectare lifestyle property in Clarkville in North Canterbury last year for $847,000. It is on the market.”

The Press did not state the address but the Society has determined that it is: 245 Heywards Rd, Clarkville, Kaiapoi, 7629 (confirmed by Waimakariri City Council and other sources). 

This 5 bedroom and two bathroom 270 sq. m dwelling and property is currently being marketed by Ray White Real Estate and has an advertised R.V. of $830,000.

FJ40 Property

245 Heywards Road, Rd 2, Kaiapoi,  7692 , New Zealand

This property is currently being used by John Edward Clancy on documentation he has supplied to the Companies Office, as:

(1) the registered office and address for service for VU Holdings Ltd which John Edward Clancy incorporated on 6 May 2015 and which according to Companies Office records is 50% owned by “FUBA Trust“. However, a Trust itself cannot by law own (or hold) shares. It is only the Trustees of the Trust who can hold the shares on behalf of the Trust’s beneficiaries and each and every one of the trustee(s) must be named (full legal name and residential address).

(2)  The shareholder owner address for “FUBA Trust”, which according to Companies Office records owns 50% of VU Holding Ltd, is not given. The “FUBA Trustees” are linked to the Kaiapoi address.

(3) the registered office and address for service for BBK Developments Ltd. These are expressed on the Companies Office website as “Youngmee Kim, 245 Heywards Road, Rd 2, Kaiapoi, 7692 , New Zealand.” [Youngme Kim is the Korean name of John Edward Clancy’s wife].

Canterbury TV covered a story on its News programme on 7 July 2015 fronted by reporter Chelsea Daniels. Two creditors of companies directed by John Edward Clancy were interviewed in depth. One contrador who had had a ‘pitched battle’ with Clancy to get from him money he was owed, stated that Clancy eventually paid his debts to him out of “a Trust account”.

It would appear that this is illegal. Housing New Zealand paid government (sourced from tax payers) money directly and regularly to companies directed by Clancy in order to fund them to complete parts of the Christchurch earthquake rebuild programme. It would appear that money that should have gone to contractors and subcontractors from these companies, was instead somehow diverted to one or more of Clancy’s trusts, with creditors of the Clancy-directed companies being none the wiser. FJ40 Trust for example appears to have ‘acquired’ sufficient capital to acquire a $870,000 property in Kaiapoi, North Canterbury in late 2014 as well as eventually repay as least one creditor of a Clancy-directed company owned by one of the trusts (as reported on CTV).

John Edward Clancy, sole trustee of FJ40 Trust and FUBA Trust: Compliance issues

John Edward Clancy, a director of about 30 NZ registered companies, had his Ponsonby/Auckland-based accountant Richard Somerville of Walker Townsend Ltd  set up three Trusts for him and his partner in order to hold their assets, including companies John Clancy directs, and property purchased. Clancy is sole trustee of two of the trusts: FJ40 Trust and Fuba Trust – which each jointly own assets with FJ40 Trustees Ltd and Fuba Trustees Ltd respectively. These two “trustee services” were incorporated by Somerville who is their sole director and holds one share in each company.  John Clancy and his wife are Trustees of a third Trust which jointly owns five companies he directs, together with Clancy Trustee Company Ltd (directed by Somerville).

One company John Edward Clancy was director of – Global Developments (NZ) Ltd (now called Derby Grey Ltd) – was put into liquidation on 20 October 2014 with liabilities of about one million dollars according to the liquidator’s reports. Clancy was its sole founding director. He ceased being director just six days before it was put into liquidation, leaving his business associate Graham Dennis Hewer to remain on as sole director. Derby Grey is one of 17 companies directed by Clancy that is 100% jointly owned by FJ40 Trust (of which he is sole trustee) and the trustee company FJ40 Trustees Ltd.

Raising serious questions

This article raises serious questions about the legality of documentation supplied to the Companies Office by Mr Clancy and his accountant – Richard Townsend Somerville – involving the setting up of the three Trusts and companies Clancy directs. The use by John Edward Clancy of a range of false residential addresses and fundamentally different signatures purporting to be his – on official documents – is of serious concern. Richard Townsend S0merville, a former member of  The Institute of Chartered Accounts of New Zealand was suspended in 2009 from the Institute following a public hearing and published decision of the Institute’s Disciplinary Tribunal. The Member was “found guilty of misconduct in a professional capacity, conduct unbecoming an accountant, breaching the Institute’s Rules and/or Code of Ethics, failing to respond to the Institute and failing to comply with an order made by the Professional Conduct Committee.”

See: Disciplinary tribunal Richard Somverville 23 March 2009. The Tribunal issued an Order that Somerville be removed from the Institute’s Register of Members and he was fined  $19,621.00 (inclusive of GST).

Richard Somerville had a “trustee service” company called FJ40 Trustees Ltd incorporated on 23 August 2012 of which he is its sole director and he entered into a contract with the sole trustee of the FJ40 Trust, John Edward Clancy, to hold the single share of the company on behalf of the (unnamed) beneficiaries of that Trust.

Companies Office records show that FJ40 Trustees Ltd, along with John Edward Clancy, as sole trustee of FJ40 Trust, owns 100% of the shares in each of 17 companies he directs. FJ40 Trustees owns 99.9% of the shares in another company, with John Clancy owning the remaining 0.1% – as an individual.

The Christchurch Press reported recently that “Property records show Clancy and his trustee company, FJ40 Trustees Ltd, bought a 2 hectare lifestyle property in Clarkville in North Canterbury last year for $847,000. It is on the market.”

The Press did not publish the address of the property, but our investigations have determined that it is 245 Heywards Rd, Clarkville, Kaiapoi, 7629, NZ (confirmed by Waimakariri City Council and other sources). The property was on the market with Bayleys Real Estate in February 2014 for $960,000  prior to it being purchased by Clancy’s FJ40 Trust in June 2014 for $847,000. This 5 bedroom and two bathroom 270 sq. m dwelling and property is currently being marketed by Ray White Real Estate and has an advertised R.V. of $830,000.

FJ40 Property

245 Heywards Rd, Clarkville, Kaiapoi, 7629

This same Kaiapoi  address (see photo above – credit Stuff News 7/7/15) is recorded as the registered office and address for service for BBK Developments Ltd (Co. No. 5616308) – its business classification recorded as “E321110 Land development or subdivision (excluding buildings construction)”.  BBK Developments was incorporated on 9 March 2015 and John Edward Clancy is its sole director and owner.

On the same day, 9 March 2015, Clancy uploaded incorporation documents onto the MBIE website relating to another new company,  VU Holdings Ltd which shares the same registered office and service address as BBK Developments – 245 Heywards Road, Rd 2, Kaiapoi, 7692 , New Zealand.

Company Office records show that VUW Holdings is 50% owned by “FUBA Trust” (No trustees names are provided on the form which is in breach of the law); and 50% owned by Graham Dennis Hewer (as an individual). Hewer, a business associate of John Clancy, is sole director of VU Holdings. (Hewer’s residential address is given as 175 Major Hornbrook Road, Mount Pleasant, Christchurch, 8081 , New Zealand).

The signature provided on the Director’s certificate and shareholder’s certificate for BBK Developments; and the signature provided on the shareholder (“FUBA TRUST“) authority certificate for VU Holdings Ltd are all identical – having been cut and pasted from some unknown source. The identical three signatures do NOT match in any way the signatures provided by John Edward Clancy on any other documents provided to the Companies Office relating to a large number of companies he directs and owns !

Document Fraud? An Examination

BBK Developments Ltd – Incorporation documents

The BBK Developments Shareholder’s Consent form for the proposed company was signed by “John Clancy” who provided his residential address as 87 Byron Street, Sydenham, Christchurch 8023 NZ” (Note this is not a residential address. It is a commercial/business office). The consent form was completed by “John Edward Clancy” linked to the same Byron Street address.

The Director’s Consent form for BBK Developments was signed (same signature) by “John Clancy” of residential address 245 Heywards Rd, Clarkville, Kaiapoi, 7629, NZ. This form was completed by “John Edward Clancy” of  “87 Byron Street, Sydenham, Christchurch 8023 NZ”.

The signatures for “John Clancy” on both are identical.

The only other time the same “John Clancy signature” [Note: purporting to be that of John Edward Clancy !] has appeared on any document submitted to the Companies Office, is in relation to the incorporation of VU Holdings Ltd. The latter company, like BBK Developments Ltd  has its registered office and service address at  245 Heywards Road, Rd 2, Kaiapoi, 7692, New Zealand.

(Note: 50% of the shares of VU Holdings are owned by its sole director Graham Dennis Hewer, John Clancy’s business partner, and the remaining 50% are owned by “FUBA TRUST“, a family Trust of which John Clancy is the sole trustee)

“FUBA Trust” filed a shareholder authority certificate with Companies Office and the signature is identical to the two highlighted above linked to BBK Developments.

This form was completed by, as it states “FUBA Trustees, 245 Heywards Rd, Clarkville, Kaiapoi,7629, NZ”.

However, only a legally appointed trustee of a Trust can sign a legal document on behalf of a Trust. In the case of a shareholding certificate only John Edward Clancy was authorised to sign it.

Whoever the unnamed person was who signed this form, the same person signed the Director Consent and Shareholder Consent forms for BBK Developments Ltd as noted above.

 Whoever signed and submitted the shareholding certificate for “FUBA Trust” relating to VU Holdings Ltd, committed an offence under the Companies Act 1993 because a Trust cannot own shares. This is stated on the consent form. The name of a trustee or trustees of the Trust must be declared because only a “legal person” can hold shares and do so on behalf of the Trust. No trustee name appears on the shareholder consent form. The unknown signature does not match that of John Edward Clancy present on other documents he has signed. He is the only trustee for the two companies owned by the trust: Canterbury Affordable Homes Ltd and Phoenix Flooring Ltd.

The Companies Act 1993 sets out the penalties for those directors convicted of a fraudulent use of formal documents submitted to the Companies Office.

Signatures used by John Edward Clancy on other Documents 

Compare for example the above three identical signatures of “John Clancy” highlighted with those used in forms signed by the “same person” – see links:

It must be stressed that whoever signed forms for BKK Developments and VU Holdings documents cited earlier, used a radically different signature to that used by John Edward Clancy in all other documents he signed.

Residential Address Falsehoods

The “residential address” inconsistencies highlighted relating to John Edward Clancy above cannot just be dismissed as mere pedantic and/or esoteric and/or irrelevant facts.

Given that no one can “reside” at 87 Byron Street, Sydenham, as the property is strictly designated a “business – commercial” unit, one must question why Clancy has persisted for years as presenting this address as his residential one. The Heywoods Rd, Kaiapoi address is now either his residential address or it is not.

Conclusion. Breaches of the Companies Act 1993 have been highlighted with respect to documentation submitted to the Companies Office by John Edward Clancy and Richard Somerville. Formal Complaints will be directed to the Compliance Team of the Ministry of Business, Innovation and Employment (MBIE).

Appendix

Here are examples of the variety of distinctly different signatures used by John Edward Clancy on filed documents pertaining to his companies. All are owned by Clancy Trustee Company Ltd – a Family Trust for which John Edward Clancy and his wife are trustees.

Christchurch City Council blunder costs $166,000 in company collapse

A Christchurch City Council mistake has cost nearly $166,000 in fees owed by a collapsed housing company.

The council, at a meeting on Thursday, decided to write off the $165,831 owed by Global Homes group company Global Developments (NZ) Ltd. for development contributions on 12 units in Worcester Street, Linwood.

Due to a “processing error”, council officers issued the code compliance certificate in June last year before payment of the development contributions, a council report says.

Global Developments sold the property to Housing New Zealand in August last year. The invoice for the development contributions was issued on October 14. On the same day Global Developments changed its name to Derby Grey Ltd and director John Edward Clancy vacated his position.

A new director, Graham Dennis Hewer, was appointed and six days later the company was put into voluntary liquidation. The council had no statutory land charge over the property and Housing New Zealand is not liable for the contributions.

The council report says a new processing sheet has been developed to ensure all fees are paid in full before a code compliance certificate is issued. The council’s building control and finance departments are also working on a system where several people, “well known to council staff” will only be allowed to trade with council on a cash basis, the report says.

Hewer has been the director of four struck off companies. His LinkedIn profile lists him as the national sales manager for Global Homes.

Global Developments (now Derby Grey Ltd) is part of the Global Homes group run by Auckland-based Englishman Clancy. It went into liquidation in October last year with liabilities of around $1.1m. A related company, Global Renovations Ltd, now called Hanguk Business Investements One Ltd, has also left Christchurch contractors unpaid and angry.

Clancy appears to have gone overseas. Hewer could not be contacted.
