On 11 June 2007 the company 435 Devon Ltd (Co. No. 1951732) was incorporated. and registered with the Companies Office with David Bruce Crow as sole director. Its registered office was recorded as 418 Bedford Rd North, R.D.6 Inglewood 4386. The Companies Office records based on details filed on-line by David Crow show that his brother Stephen Peter Crow (Steve Crow aka “Porn King” or “Mr Porn”) was appointed a director on 25 February 2008 and then resigned on 12 November 2008.
The Companies Office was first notified by David Crow of the appointment of his brother as director on 30 April 2008 and Steve Crow’s signed Director’s Consent was filed that same day.
During the period that Steve Crow was a co-director of 435 Devon Ltd, the RSA’s Strandon clubrooms were sold to this company, which is now owned by Steve Crow (50% of shares), and his brother David (10%) and his wife Carolyn of Inglewood (40%), for $1.9 million in July 2008. The sale was part of a rescue package for the organisation, which was reported to be in danger of going broke and losing everything. The media have reported that some RSA members were opposed to pornographer Steve Crow being involved in the purchase and management of their clubrooms because of the sleazy nature of the porn industry.
At the time of the sale of the RSA clubrooms, HWGA Co Ltd, a company which was co-directed at the time by Steve Crow and his wife Gaylene Sharon Rogers, owned 50% of the shares of 435 Devon Ltd (Rogers now his ex-wife resigned as director on 16 July 2009). David and Carolyn Crow held 49% on behalf of NKS Trustees Ltd (Co. No. 11488843) and David Crow 1% of the remaining shares.
One month after Steve Crow resigned as director of 435 Devon Ltd (12 November 2008), David Crow filed Particulars of Share Parcels Transfers on 17 December 2008 showing that all the 435 Devon Ltd shares owned by HWGA Co Ltd (5,000 shares) had been transferred to Steve Crow and he currently still holds them all.
The On-line Annual Return for 2008 David Crow filed at 11:55:41 on 30 April 2008 showed that his brother Steve’s “new appointment” as director “was not yet registered”, over two months after he had been appointed a director of 435 Devon Ltd. However, company directors are required to notify the Company Office within 10 working days of any new director appointment.
According to the online record of Particulars of Share Parcel Changes registered at 11:55:04 on 30 April 2008 and filed by company director David Crow, 5,000 shares from the company 435 Devon Ltd were acquired by HWGA Co Ltd from the total of 9,999 shares held by David Bruce Crow and Carolyn Rose Crow on behalf of NKS Trustees Ltd (Co. No. 1148843). (At that time Stephen Peter Crow and his then wife Gaylene Sharon Rogers, were the two directors of HWGA Co Ltd and Andrew Steele and Dermott Malley each held and still each hold 50% of HWGA Co Ltd shares).
So what part, if any, did Steve Crow play in the issuing of 9,900 shares by 435 Devon Ltd on Monday 25 February 2008, bringing the total company shares to 10,000 according to David Crow’s online entry at 11.53.21 on 30 April 2008?
It would appear not to be just coincidence that the share issue day, 25 February 2008, was the same day Steve Crow was appointed a director of 435 Devon Ltd. It would appear that the decision to issue the 9,900 shares on that date was done with the full agreement of David Crow and his brother Steve – the newly appointed director.
The Society contends that the later transfer on 17 December 2008 of 5,000 Devon Ltd shares held by HWGA Co Ltd over to Steve Crow may have involved a conflict of interests as Steve Crow was a director in both companies at that time. Section 3.3 of the Constitution of HWGA Co Ltd puts tight constraints on the involvement of Steve Crow in all decision-making that involves any beneficial gain on his part from the allocation, or distribution of either income or capital of any trust in which he is a beneficiary… etc..
(HWGA Co Ltd owns 40% of the shares in the CVC Group Ltd which itself owns and has owned a number of companies directed by Steve Crow that are involved in the distribution and production of hardcore pornography).
The New Plymouth RSA link with Porn Empire
In the light of recent media reports about the liquidations of the companies of both David and Steve Crow, it is understandable that the RSA is now moving quickly to secure its assets against the negative impact of the well-publicised downturn in the fortunes of the Crow brothers’ business/porn empires. David Crow’s company Buildwise Ltd (Co. No. 714048) which was incorporated on 9 February 1996 and recently taken over by him from his father, has been put into liquidation as recently reported by the Taranaki Daily News (“Contractors hit as builder goes bust”) and four of Stephen Crow’s companies of which he is sole director, are currently in the hands of liquidator Lloyd J. Hayward of Meltzer, Mason and Heath. Buildwise Ltd ceased trading on 26 June 2009 and was placed into liquidation on 3 July 2009. Lloyd J. Hayward has filed his first liquidation report on Buildwise Ltd on 7 July 2009 and he is also dealing with Steve Crow’s four liquidated porn trading companies.
David Crow lined up for new directorship
Steve Crow has moved to appoint his brother David Bruce Crow as co-director of HWGA Co Ltd, following the recent resignation of his ex-wife as co-director on 16 July 2009. The on-line Annual Return 2009 dated 23 July 2009 on the Companies Office indicates that this appointment is pending.
Alleged Offence by director Stephen Peter Crow
It would appear that Steve Crow committed an offence under s. 159(2)(d) and s. 159(3) of the Companies Act 1993 when he submitted two Director Consent documents relating to the appointment on 20 April 2006 of two new directors to HWGA Co Ltd. He submitted the Consent document relating to new director Gaylene Sharon Rogers – his then wife – on time – the very next day at 9:6:03 on 21 April 2006. No problem here. However, the Consent document for new director Dermott Malley was submitted late. It was faxed from Vixen Direct Ltd at 8:57 on 20 May 2006 and registered on-line on 22 May 2006. The deadline for it to be received by the Registrar was 5 pm Friday 19 May 2006 – within 20 working days from 20 April 2009. Mr Steve Crow failed to comply with the law.

The sex industry, according to conventional wisdom, is recession-proof. It is certainly big business, generating $US13 billion (NZ$19.9b) in the United States last year. According to satellite television business news channel CNBC, US 3075 is spent every second on pornography.
It is those sorts of numbers that must have prompted New Zealand Olympic taekwondo aspirant Logan Campbell to open a brothel or, as he calls it, a gentlemen’s club. Campbell’s aim is to raise $300,000 to fund his tilt at the 2012 London Olympic Games…. Take Steve Crow, the one-time mayoral candidate whose pornography businesses Vixen Direct and Erotica Expo collapsed in May owing creditors more than $400,000.

STEVE CROW, aka Mr Porn New Zealand (who happens to have three degrees, including two masters, one with honours and one an MBA), is not a happy chap. A young lady boasting 36 inches worth of double D-cup posed for his nothing if not low rent polythene encased smut mag, Brass Extreme. The photo shoot was organised by Strippers R Us but nonetheless Miss Kirsty Weaver is suing Steve because, she says, the photos he published showed her nipples. She wants $7500 to compensate her hurt “pride” and “reputation”. Her lawyer is, I suspect, rather enjoying his job right now. Currently the case is delayed as the “issues” need to be more closely examined.
