Steve Crow – banned director – promotes Eden Digital Ltd porn sleaze on Queen Street tomorrow

John Malcolm Carr, a San Antonio Texas based businessman, is the sole director of Eden Digital Ltd, the hardcore porn company behind the porn promo street event that will be staged tomorrow (Wednesday 11 August) on Queen Street, Auckland, commencing 12.30 pm and designed to titillate and offend the public in the CBD. A significant media contingent is expected the next day (Thursday) at 9 am at Courtroom 5 of the Auckland District Court to see the same Mr John Malcolm Carr face eight serious criminal charges brought against him as company director by the Ministry of Economic Development (MED) for his alleged breaches of the Financial Reporting Act 1993.

Up until May 15 when he was forced to resign as director of all companies he was associated with, Steve Crow was a co-director with John Malcolm Carr, of Eden Digital Ltd. The banning order served on him on 14 May 2010 by the MED is effective for four years and prevents him from taking any part in the promotion, management, directing or day-to-day control of any aspect of the business activities of any company. And yet Steve Crow has taken out a permit in the name of Eden Digital Ltd so he can run the Queen Street Porn parade tomorrow promoting the three-day Erotica Lifestyles Expo funded by and a key income source for Eden Digital Ltd. He would appear to be the central figure in this porn promo operation.

The permit to run the Porn Street Promo was issued yesterday by the Events Team of Auckland District Council to Steve Crow and his brother David Bruce Crow, as event organisers for Eden Digital Ltd. David Bruce Crow of Inglewood, like his brother, is a failed company director. The company David Crow directed – Buildwise Ltd (In Liq) – put into liquidation last year, owes hundreds of thousands of dollars to Taranaki creditors. Another of his companies, 435 Devon Ltd owes tens of thousands of dollars in mortgage interest payments to the New Plymouth RSA club and PMIT Nominees Ltd. Steve and David, who together own 60% of the shares of 435 Devon Ltd, have now lost control of the $1.9 M property their company purchased in 2008, bought entirely using borrowed money.

A banned company director who is convicted of being in breach of a banning order can face up to 5 years jail or a very large fine under the Companies Act 1993. The Society has referred Mr Steve Crow’s activities involving Eden Digital Ltd to Mr Phil Day, Manager of the Enforcement Unit of the MED and to Mr Brent McDonald, Investigator – Director Prohibitions, MED.

When a company director is prohibited by the Registrar of Companies under section 385 (3) of the Companies Act 1993 from taking part in any matter relating to the directing or management of any company for four years , the Registrar must take action when such a director publicly disregards this prohibition and brazenly flouts the law. Such a director “commits an offence and is liable on conviction to the penalties set out in section 373(4) of this Act…. A person convicted of an offence for failure to comply with the Act… is liable to imprisonment for a term not exceeding 5 years or to a fine not exceeding $200,000.”

The names of directors such as Stephen (Steve) Peter Crow, currently banned by the MED, are published in the Gazette and can be accessed on the Companies Office website (www.companies.govt.nz) by searching under their full legal names. Those banned under s. 385(3) are banned, like Mr Crow, to protect the New Zealand public from such persons who have demonstrated a history of unsuccessful business ventures.

Steve Crow boasts on his Erotica Expo website that he and Miss Erotica Expo 2010 will be in the vehicle at the head of the bare-breasted porn promo event that will crawl its way down Auckland City streets tomorrow and later down Hamilton City streets on Thursday lunchtime. An employee of Eden Digital Ltd, Michelle Ruebe, notified media last week that $250,000 worth of porn DVDs will be given away (via free vouchers) to the public in tomorrow’s Queen Street lunchtime porn parade. Steve Crow has defended this porn giveaway as an effective means by which his porn company Eden Digital Ltd can help combat sexual violence committed by men against women. The company regularly submits DVDs it imports or produces locally, to the Chief Censor for classification. They all contain R18 sexually explicit content that regularly degrade and demean women.
