AWINZ trustees’ defamation proceedings using Lord Dowding/Humane Research Fund charity money

6. New Zealand Fund for Humane Research (Lord Dowding Fund) research grant

The Animal Welfare Institute of New Zealand [AWINZ] is seeking expressions of interest for a grant of $20,000 from the New Zealand Fund for Humane Research (Lord Dowding Fund).

The grant will be for research that will contribute to the replacement or reduction of the use of animals in research, testing or teaching, but will not itself involve the use of any animals or animal tissue.

Expressions of interest must be received no later than 28 February 2013. To do this, and/or to seek further information, please email Neil Wells (neil.wells@xtra.co.nz).

The final decision will be made on or before 30 April 2013.

The Society (SPCS) has published on its website its investigations into the activities of AWINZ (The Animal Welfare Institute of New Zealand), an unincorporated charitable trust of which Auckland barrister Neil Edward Wells is “the Settlor” of its alleged “Deed of Trust and Revocation” dated 5th December 2006.

AWINZ was registered as a charity with the Charities Commission on 28 September 2007 (Reg. No. CC11235) and has spent $126,850 over four years (2007 to 2011) on defamation proceedings taken by three of its trustees against a ‘whistler blower’ – Ms Grace Haden, a registered private investigator – who has sought to highlight alleged fraudulent and corrupt practices involving the charity and its trustees. The funding for these proceedings, filed in the name of AWINZ trustee Neil Wells of 1308 State Highway 3 Rd 5, Te Kuiti 3985, and two other trustees – Graeme John Coutts and Winifred (Wyn) Norien Hoadley QSO, came from the AWINZ money – specifically a National Bank Term Deposit designated “Lord Dowding Fund” (“LDF”).

Legal proceedings by AWINZ against Ms Haden have continued since Neil Wells filed the last set of AWINZ financial accounts for the year ending 30 June 2011. As the 2012 AWINZ financial accounts are not yet available on the Charities website (they were due to be filed no later than 31/12/12), it is unclear how much more of the “LDF” money has been allegedly mis-used by Neil Edward Wells and his colleagues to advance their case against Ms Haden (they are currently seeking to liquidate her company Verisure Investigations Ltd and bankrupt her) and gain pecuniary benefits from the attempted prosection.

A recent notification on the Charities website indicates that the AWINZ 2012 financials have just been received , but the documents remain “restricted” (no reason given). It is noteworthy that AWINZ trustees Neil Edward Wells and Wyn Norien Hoadley have personally received $50,000 and $16,800 respectively from Court awards for “damages” in their joint -defamation case against Ms Haden. Neither beneficiary has personally funded the Court proceedings as the money has all come from LDF.

The Lord Dowding Funds (“LDF”) have been recorded on the Charities website in AWINZ Funds records as $98,208 (2007); $90,000 (2008); $44,000 (2009); $46,281 (2010); $48.209 (2011), with interest earned separately recorded as $9,712 (2007); $7,737 (2008); $3,731 (2009); $2,345 (2010); $1,968 (2011).

The opening accumulated reserves for AWINZ was recorded as $119,767 and $110,226 for 2007 and 2008 respectively. The majority of this money was designated “LDF” money, including interest earned.
According to AWINZ (alleged) Minutes dated 10th May 2006, funds from Beauty with Compassion (BWC), [an incorporated society which was struck off the Societies Register on 6th September 2000], “became part of the operating funds” of AWINZ. This transfer must have occurred some time after Neil Wells wrote to the Secretary of the now defunct BWC, Lucille Heather. on 14th March 2005, as Trustee of AWINZ, soliciting money from BWC for AWINZ, and before 10th May 2006.
Wells recorded in the AWINZ (alleged) Minutes dated 10th May 2006, that “$90,000 is held as deposit for the Lord Dowding Fund … the “balance handed to AWINZ” in 2005.

“Haden Legal costs” incurred by AWINZ are recorded on the Charities website as: $32,312 (2007); $12,904 (2008); $60,150 (2009); $21,484 (2010). This is a total of $126,850.
The only “LDF grant” ever issued by AWINZ since it was registered as a charity on 28 September 2007 was made in 2008 – a grant of $5,750 –  for “research into measuring stress levels in animals kept in custody for long periods”(recipient unstated). [Source: AWINZ Minutes 10/05/2006]. This money came from $8,208 of interest earnt by AWINZ on the LDF “Capital Sum of $90,000”, which had been “credited to the AWINZ general account”. What then has happened to the LDF money in excess of $100,000 transferred to AWINZ from BWC and what is the link to The New Zealand Fund for Humane Research (“NZFFHR”)?
Clearly the bulk of the LDF money ($126,850) has been used to fund defamation proceedings against a registered private investigator Grace Haden. The proceedings had to be lodged in the name of the majortity of the trustees of AWINZ, rather than by AWINZ, because this charitable trust has never been incorporated under the Charitable Trusts Act 1957.
Now AWINZ/Neil Wells is calling for “expressions of interest” from researchers for charity grant money from its so-called “New Zealand Fund for Humane Research (Lord Dowding Fund)“, the same fund that is being used to assist Wells, Coutts and Hoadley pursue and prosecute Grace Haden in the Courts, and gain pecuniary benefit by way of “damages awards”.
The New Zealand Fund for Humane Research (NZFFHR) is effectively a defunct incorporated charitable trust of which Neil Wells has been a trustee since 1983. It remains on the Register of Charitable Trusts ( No. 212230) and was incorporated on 14 August 1981.

The New Zealand Fund for Humane Research (“NZFFHR”) is not associated in any way with the Lord Dowding Fund (“LDF”) and therefore has no right to use its name. Neil Edward Wells is a trustee of both NZFFHR and AWINZ and has merged both NZFFHR and LDF in his call for “expressions of interest” for a $20,000 “New Zealand Fund for Humane Research (Lord Dowding Fund) research grant”. However, they are distinct organisations and “not associated in any way,” according to the Executive Assistant of LDF.

AWINZ – a registered charity spends $126,850 on defamation proceedings over four years

The Animal Welfare Institute of New Zealand (“AWINZ”), an unincorporated charitable trust, allegedly “established” by Deed of Trust on 1 March 2000, was registered as a charity (Reg. No. 11235) with the Charities Commission on 28 September 2007. This charity (henceforth referred to as “AWINZ”), spent a total of $126,850 [ref. 1] in legal fees over four years (1 July 2006 to 30 June 2010) in bringing defamation proceedings against a ‘whistleblower’ – Private Investigator, Mrs Grace Haden of Auckland, who has been raising serious complaints since March 2006 with the Charities Commission and other enforcement agencies over the alleged corrupt practices of Auckland barrister Neil Edward Wells [to right], Settlor of the AWINZ Trust Deed, and AWINZ the “Approved Organisation” (as defined under the Animal Welfare Act 1999 – henceforth referred to as “AWINZ – AO“).

It is critical to grasp the distinction between “AWINZ-AO”, which was never constituted as a trust, and AWINZ the unincorporated charitable trust, allegedly established on 1 March 2000 by means of an executed Deed of Trust (after an amendment to the AWINZ deed and the appointment of other trustees in 2006 it was later granted charity status in 2007 – Reg. No. CC 11235).

AWINZ -AO, a private law enforcement authority which operated in Waitakere City using the council’s staff, infrastructure and resources, was run by Neil Edward Wells – at that time manager of dog and stock control. Its expenses were paid through rates but its profits were private.

Neil Edward Wells has sought to convince the Courts and those he has sought funds from, that the unincorporated charitable trust AWINZ and AWINZ-AO are one and the same entity and that AWINZ arose from AWINZ-AO via a seamless transition involving Ministerial approval. He put it this way when soliciting for funds on behalf of AWINZ in 2004 and 2005 from “Beauty With Compassion” (BWC), an organisation (dissolved by 2006) which campaigned against the use of animals for testing of cosmetic products:

“The Animal Welfare Institute of New Zealand has been functioning since its inception in 1998 as the channel for animal welfare inspectors at Waitakere and North Shore Cities. AWINZ is one of only two “approved organisations” recognised by the Minister of Agriculture and Gazetted as such. The other is the SPCA…. [Emphasis added]

“AWINZ would be happy to take on any residual funds from BWC and The New Zealand Fund for Humane Research [of which Wells was a founding Trustee – see later discussion].”

In a plea for money sent to all Waitakere City Council dog owners in June 2006 under the Council logo and AWINZ logo, Chairperson of the Board of Trustees of AWINZ, Winifred (Wyn) Hoadley QSO  [appointed 10 May 2006] wrote:

“The Animal Welfare Institute of New Zealand established in 1999, is partnering with Waitakere City Council to provide the very best of services for our animals …….. HELP THE WAITAKERE ANIMAL WELFARE FUND ….. [Coupon details] … here’s my donation ….. Tick box $10 …. $250 or other etc. Please return to PO Box 60 208 Titirangi, Auckland… AWINZ is an “approved organisation” under section 121 of the Animal Welfare Act 1999.”

A similar pitch for donations was made by AWINZ to dog owners in 2007.

AWINZ-AO was first notified of its “approved organisation” [AO] status, under section 121(1) of the Animal Welfare Act 1999, in a letter dated 19 December 2000 from the Minister of Agriculture, Hon. Jim Sutton, based on an application made by Neil Wells only, dated 22 November 1999, which was after the Act was passed in October 1999, and before the Act came into effect on 1 January 2000. More importantly, the official application was lodged before the unincorporated charitable trust “AWINZ” was allegedly “established on 1 March 2000“.

The Minister’s decision concerning AWINZ-AO was first gazetted on 18 January 2001, nine months after the AWINZ Deed of Trust had been allegedly duly executed on 1 March 2000, and 14 months after the formal  application was made. Therefore  the Minister’s decision did NOT relate to AWINZ at all. Minister Sutton made it clear is his letter of 19 December 1999, that his granting of “approved organisation” status was to the applicant AWINZ-AO, (“AWINZ” being at that time only the trading name of an an animal enforcement agency), which made its first and only application for “approved organisation” status in a letter dated 21 November 1999, addressed to Minister of Agriculture the Hon. John Luxton. The application was written and signed and submitted by Mr Neil Edward Wells and no one else.

Whistle-blower Mrs Grace Haden has pointed out publicly that a clear case of identity fraud was involved in this application to the Minister because Neil Edward Wells signed himself as “Trustee – AWINZ”, when in fact no such trust had been established at that time. Therefore the unincorporated charitable trust AWINZ – allegedly established on 1 March 2000 was NOT the applicant for “approved organisation” status, and could not have been the “approved organisation”.

Sutton made it clear in his letter that this granting of “approved organisation” status was conditional upon AWINZ -AO, the animal enforcement agency operated by Neil Wells, fulfilling certain requirements and it had until 30 March 2001 to fulfil these.

In 2006 when questions of the independent legal existence of AWINZ-AO arose,  Mr Neil Wells made an attempt to use the court to prove that which normal business practices could not prove, alleging that the “Approved Organisation” (AWINZ-AO), a law enforcement agency with  coercive statutory powers, was in reality the charitable trust. He did so despite the fact that  no other person  apart from himself had ever had dealings with the application, administration  or functions of the  “Approved Organisation”. His letter of application and accompanying documents sent to Minister of Agriculture, the Hon. John Luxton, dated 22 November 1999, on behalf of “AWINZ-AO” contained the signatures of no other persons and no consent was given  jointly or severally by the  alleged trustees of the not yet established  trust.

Through  measures  normally reserved for  identity fraud, it was alleged in Court by the plaintiff Neil Edward Wells, in defamation proceedings he began against Grace Haden and her company Verisure Ltd, on 18 July 2006, that AWINZ-AO the “approved organisation” was in reality a  charitable trust (“AWINZ”) established by deed  three months after it  purportedly made  the application to Minster of Agriculture, the Hon. John Luxton, on 22 November 1999, for “approved status” (under the Animal Welfare Act 1999).

However, no charitable trust with the name AWINZ had ever been established prior to 1 March 2000 and the applicant for “approved organisation” status could not have been made by the unincorporated AWINZ charitable trust, which later went on to gain approval as a registered charity with the Charities Commission on 28 September 2007.

The total income of AWINZ over the four period 1 July 2006 to 30 June 2010 was $106,639 and it was able over these four years to fund the $126,850 legal case mounted by the Settlor of the Trust’s Deed, Mr Neil Edward Wells, and two of his fellow trustees, as well as make payments totalling $31,249 to a part-the employee of the unincorporated “charitable trust” – Christine Raewyn Wells, wife of Neil Edward Wells, for her “film monitoring wages (including PAYE)”.

At the AWINZ Board meeting on 10 May 2006, Neil Well’s wife, Christine Wells, who was not a trustee, was appointed treasurer of AWINZ and she was authorised as a signatory to sign cheques on behalf of AWINZ. Two signatures were required for all outgoing payments. Three trustees were authorised to sign cheques plus Christine.

AWINZ failed to provide its original signed Deed of Trust (supposedly dated 1 March 2000 – if it ever existed) to the Charities Commission and yet it was granted charity status on 28 September 2007. Its stated “charitable purpose” is “to promote the welfare of animals exclusively in New Zealand”. However, there is no evidence, according to ‘whistle-blower’ Grace Haden, that it is has achieved anything of “public benefit”, and/or engaged in any activities that serve some “charitable purpose””, since it became a registered charity. Its small income comes from the “monitoring of animals in movies” to prevent ill-treatment: a business venture that provides an income for Christine Wells, wife of the Settlor of the Trust – Neil Wells.

The AWINZ “Deed of Trust and Revocation” dated 5 December 2005, the only AWINZ Deed of Trust document available on the Charities website, states in section 4 that “in furtherance of this [charitable] purpose” AWINZ is “To “apply all funds and assets of the Trust within New Zealand towards furthering the exclusively charitable objects, aims and purposes…. (b) To prevent ill treatment to and assist in the relief of suffering of animals. {c) To provide animal welfare services…” etc.

Funding personal defamation proceedings using funds from a  registered charity which is unincorporated and which has as its sole stated purpose – the “promotion of animal welfare”, is a flagrant misuse of charity funds, especially when: (1) the legal action was directed by the Settlor of the Trust, Auckland barrister and plaintiff Neil Edward Wells, AND the named charity (AWINZ), which is not a legal entity, (2) the defendant was Grace Haden who had raised numerous complaints with the Charities Commission since 2006 concerning the alleged corruption involving AWINZ (Haden later pointed out to the Commission that  the trust is being used in a manner akin to money laundering  – that is converting charitable funds to  the private income of one person), and (3) charity money was used to secure a ‘win’ for the plaintiff and none of the award costs, which have been paid out, have been returned to the charity, as evidenced by AWINZ financial statements.

The Trustees have chosen to categorise the “Grace Haden legal costs” incurred by “AWINZ” over the four years (2006-10), as “Service Provision Costs” in their official explanation to the Charities Commission. Such recorded costs involve no other items other than the costs incurred by Mr Neil Edward Wells and his fellow trustees in pursuing a defamation claim against Grace Haden. In recent weeks the litigation has involved Trustee Neil Edward Wells seeking to force Haden’s company Verisure Ltd into liquidation.

In law, defamation proceedings can only be taken by real legal “Persons” – that is named individual[s] and or legal entities, and NOT by unincorporated bodies such as unincorporated trusts. Despite this legal prohibition, Mr Neil Edward Wells took defamation proceedings in his own name, and claims of passing off and breach of fair trade in the names alleged fellow trustees, and yet all the tax invoices issued by Brookfields Lawyers of Auckland for this defamation case were sent to their client (the plaintiff) identified only as “AWINZ” located at the private P.O. Box of Neil Edward Wells, Titirangi.

All of the $126,538 of legal costs for which we have  invoices for , were issued to AWINZ C/- Neil Wells,  by Brookfields and paid for by AWINZ “charity funds” for actions which predate the signing of the  2006 trust deed that is registered with the Charities Commission. And yet “Legal costs – Haden” appear as expenditure items in the AWINZ Financial Statements in each of the years (2007-2010)

Former Charities Commission employee Mr Chris McIntyre, Senior Analyst – Monitoring and Investigatons – dealt with a number of the complaints raised by Mrs Haden against AWINZ over the period 2007 to 2012. But no action was ever taken against AWINZ by this employee of the tax-payer funded Crown entity – The Charities Commission –  throughout the prolonged legal proceedings funded by AWINZ “charity money”. McIntyre, who no longer works for Charities, received full documentation from Mrs Haden relating to her serious allegations against AWINZ of corruption and money-laundering and no action was taken.

The oldest set of AWINZ Financial Statements registered with the Charities Commission are those for 2007, and these record total assets of $110,226 as at 30 June 2007. The bulk of these funds ($98,208) constitute the so-called “Lord Dowding  Fund” [“LDF”] which, according to Haden, Mr Wells solicited from a now defunct incorporated society called Beauty With Compassion which gave in excess of $100,000 to Mr Wells in 2005. As at the 30 June 2008 total AWINZ net assets were $105,148 and this included $90,000 in the LDF. By 30 June 2009 the LDF had been reduced to $44,000.

The Lord Dowding Fund is mentioned in s. 4. (“Purpose”),s. 5. (“Powers”) and s. 18 (“Interpretation”) of the AWINZ “Deed of Trust and Revocation” dated 5 December 2012. S. 18 defines it as having been:

“… established by the New Zealand Fund for Humane Research on 14th August 1981 for the purpose of sponsoring or otherwise supporting research directed to the discovery of viable alternative techniques to replace living animals in scientific investigations.”

These funds can only be used for the charitable purposes and these do not include funding the personal defamation proceedings entered into by the Settlor of AWINZ, Neil Edward Wells/ against Mrs Grace Haden.

Neil Edwards Wells was a founding Trustee of the New Zealand Fund for Humane Research which was incorporated as a charitable trust on 14 August 1981 under the Charitable Trusts Act 1957 (Reg. No. 212230). Wells remains trustee of this allegedly defunct trust which has not yet been deregistered and Haden points out that in the meantime, as the sole remaining trustee, Neil Edward Wells, persists in operating it as those it is very much ‘alive’.

The channeling of charity money from the Lord Dowding Fund into AWINZ occurred prior the AWINZ being registered as a charity with the Charities Commission or in the period after it was registered when it was not required to submit financial statements. The allegations of corruption that Mrs Haden has made include the unlawful use of this money to fund a defamation case, taken by an unincorporated trust, AWINZ, which is not a legal entity in its own right.

All of the $126,850 of legal costs for invoices that have been cited, were issued to AWINZ  by Brookfields and paid for by AWINZ “charity funds” for actions which predate the signing of the  2006 trust deed. There is also the serious allegation that none of the costs awarded against the defendent (Mrs Haden), and paid out by her to AWINZ Trustees Neil Wells and Wyn Hoadley, have been disclosed in the Financial accounts of AWINZ. Mrs Haden contends that Mr Neil Edward Wells benefited financially from the tens of thousands of dollars paid out in costs, exemplary costs and damages, in a legal case that was funded entirely by charity money.

In  the  donation solicitations  by Wells he claims to  be administrating the Lord Dowding fund for the New Zealand Fund for Humane Research,  but this trust  has ceased to exist despite it still  being shown on the Register of incorporated charitable trusts.  It was Mr Heather’s wife Lucille who ran Beauty With Compassion.  Her society was  wound up.  She gave the money, some $100,000 used for litigation, through to Wells on 15 March 2005.  The three  previous trustees  of the NZ Fund for Humane Research are  all very elderly or dead.  Wells is the only one  who is continuing to pretend this trust continues.

AWINZ – The Animal Welfare Institute of New Zealand – an unincorporated “charitable trust” under investigation

How did The Animal Welfare Institute of New Zealand (AWINZ), an unincorporated “charitable trust”, manage to gain charity status with the Charities Commission on 28 September 2007?

The Ministry of Agriculture and Forestry (MAF) which became part of the Ministry of Primary Industries on 30 April 2012 published a booklet entitled “Animal Welfare in New Zealand” in 2009 (available on-line) which states on page 17:

“MAF enforces the animal welfare legislation and audits the activities of the approved organisations (RNZSPCA and the AWINZ) which assist it in the role. MAF and these organisations investigate complaints made about possible non-compliance with the legislation. While the vast majority of such complaints are dealt with through consultation and education, successful prosecutions against persistent or blatant offenders are undertaken routinely. A number of private sector organisations have signed Memoranda of Understanding with a commitment to collaborate on animal welfare issues, including situations where an animal welfare complaint has been made.”

AWINZ (The Animal Welfare Institute of New Zealand) was first notified by the Hon. Jim Sutton that it had been granted “approved organisation” status under section 121(1) of the Animal Welfare Act 1999, in a letter dated 19 December 1999, before the Act came into effect on 1 January 2000. This decision  was first gazetted on 18 January 2001, almost one year after the AWINZ Deed of Trust had been allegedly duly executed on 1 March 2000. Sutton made it clear is his letter of 19 December 1999, that his granting of “approved organisation” status to AWINZ was conditional on it fulfilling certain requirements and the Trust until 30 March 2001 to fulfil these.

AWINZ had no legal status at that time it applied for “approved organisation” status in 1999 as it was at best just a “trading name” at that time. used by an Auckland barrister, Neil Edward Wells, [photo: to right] who rendered services to the Waitakere District Council relating to animal control.

According to its Settlor, Neil Edward Wells, the “charitable trust” named Trust “The Animal Welfare Institute of New Zealand” (AWINZ) – , was first established with the creation of a Deed of Trust on 1st of March 2000. That founding Deed of Trust dated 1st of March 2000 is referred to in the AWINZ “Deed of Trust and Revocation” dated 5th December 2006, first registered on the Charity Commission’s website on 3 November 2007.

“Approved organisation” status under the Animal Welfare Act 1999, was therefore granted to “AWINZ”  by the minister  based on an application which had been made on 21 November 1999, over four months prior to the trust allegedly being formed. On 1st March 2000 the “charitable trust” AWINZ was established, but it had no legal identity separate from  its trustees.

AWINZ has never been incorporated as a charitable trust under the Charitable Trusts Act 1957 and has never had any legal status in its own right and could therefore not sue or be sued in its own name.

So then how did Neil Edward Wells gain “approved organisation” status for AWINZ in 2000?

He achieved this by writing to Ministers of the Crown, John Luxton and Jim Sutton, as well as MAF officials, and persuaded them that AWINZ was an actual organisation – a “charitable trust” that was in the process of applying for incorporation with “The Ministry of Commerce” [sic]. When challenged by officials to produce evidence that AWINZ had been incorporated under the Charitable Trusts Act 1957, Wells misled officials by pretending that the process of application for incorporation was well underway or that documentation proving incorporation had been mis-filed (lost).

On 28 September 2007 the Charities Commission granted AWINZ charitable status. The “Deed of Trust and Revocation” dated 5th December 2006 remains the only ‘documentation’ available on the Charities website, as ‘evidence’ that the Trust was ever established as a “charitable trust”. At various points the 2006 Deed refers misleadingly to the Charitable Trusts Act 1957, and the Trustees’ obligation to comply with this legislation. However, AWINZ has never been incorporated under this Act.

In 2011 AWINZ lost its “approved status” with MAF. All four Trustees (Graham John Coutts, Neil Edward Wells, Wyn Hoadley [Chair] and Tom Didovish) wrote to the Hon. David Carter, Minister of Agriculture on 7th October 2009 stating:

We write to formally request that you, as responsible Minister, revoke the accreditation of The Animal Welfare Trust of New Zealand as an approved organisaton under section 123 of the Animal Welfare Act 1999.

The Trustees have not taken the decision to seek revocation lightly, but we are no longer willing to be subjected to the intrusion to which MAF Assurances and Risk Directorate has subjected AWINZ over the past 16 months or so, nor are we willing to meet the standards that MAF Assurance and Risk now seek to impose ten years after we came into existence.

The Notice of Revocation of AWINZ as an “approved organisation”, issued by Hon. David Carter, was published in the NZ Gazette dated 16 December 2010 (No. 173, p. 4250) and took effect 28 days after this date.

It is clear that this revocation was requested in part because the Trustees of AWINZ did not wish to be subject to the level of scrutiny and accountability of their accounts etc. that they were receiving from the MAF officials and in particular an Auckland private investigator who had for some years accused the Settlor of the Trust of fraud. As an “approved organisation” AWINZ was required to demonstrate a level of transparency and accountability which did not fit well with the Trustees.

AWINZ, a registered charity, continues to submit its unaudited Financial Statements to the Charities Commission. It is not at all clear how its activities could in any way be regarded as charitable and of public benefit.

Inquiry into The Animal Welfare Institute of New Zealand (AWINZ) – unincorporated charitable trust & registered charity

The Animal Welfare Institute of New Zealand [henceforth referred to as “AWINZ“] was registered as a charity by the Charities Commission on 28 September 2007 (Reg. No. CC11235). Its “Deed of Trust and Revocation” dated 5th December 2006,  states on page one:

“This deed revokes the deed executed on 1st March 2000 and substitutes this deed in its place. Despite the revocation of the deed dated 1st March 2000 it is declared that this trust established on that date [1/03/00] is continued by this deed.” [Emphasis added].

As part of Court proceedings involving AWINZ, Auckland barrister Mr Neil Edward Wells, Settlor [photo: right] of the 1st March 2000 AWINZ Deed of Trust, supplied a copy of it to the Legal Standards Solicitor of the NZ Law Society on 25 May 2011 and confirmed to that body that it constituted the “original deed“. He swore an affidavit to that effect.

However…

On 15 December 1998, over two years before the “original deed” was allegedly signed and established on 1 March 2000, Neil Wells sent Barry O’Neil, Chief Veterinary Officer, MAF Reg, MAF. a copy of a proposed (unsigned) AWINZ Deed of Trust. It is very similar to the AWINZ Deed of Trust dated 1 March 2000.

On 12  August 1999, the National President of the Royal NZ Society for the Prevention of Cruelty to Animals Inc sent a Memo to National Councillors et al. stating:

“The CEO and I had a meeting with Neil Wells and Tom Didovich who have [past tense] established a Charitable Trust which, once the legislation receives Royal Assent, will make application as an approved organisation [under the Animal Welfare Act 1999].”

On 22 August 1999, Neil Wells wrote to Barry O’Neil, Group Director, MAF Biosecurity Authority, Wellington stating:

“Enclosed is a notice of intent that the Animal Welfare Institute of New Zealand will, on the Animal Welfare Act 1999 being given its Royal Assent, formally apply to be Gazetted as an “approved organisation”.

“A charitable trust has [past tense] been formed by Deed of Trust as the “Animal Welfare Institute of New Zealand” (AWINZ). It is being registered under Part II of the Charitable Trusts Act. The founding members are:

“Nuala Grove, Sarah Giltrap, Graeme Coutts, Neil Wells.

“The purpose of the Trust is to promote the welfare of animals …”

On 28 October 1999, four months prior to the date when Mr Neil Wells claims the original signed deed was signed, he signed an application as “Trustee” of AWINZ and submitted it to the Community Well-Being Fund of the Waitakere District Council, seeking funding for AWINZ. He claimed in the application that AWINZ was “a legally constituted trust … in process of registering as charitable trust”. However, neither of these two claims in his funding application could have been true in October 1999 if the original trust deed was in fact dated 1st March 2000, as Wells claims it was in the deed dated 5 December 2006 on the Charities website.

Wells wrote in his application to the Waitakere Council dated 28 October 1999:

“AWINZ was [past tense] established as a result of consideration by Waitakere City Council of its strategic options for animal welfare over the period 1997/99.

“The establishment of the Institute was contingent on the passing of the Animal Welfare Act 1999. Parliament passed the Act on 7 October 1999 and commences [i.e. the Act takes effect] on 1 January 2000.

“The Institute will be launched as a vehicle for promoting animal welfare in Waitakere City and will work in partnership with the Animal Welfare Services of Waitakere.”

Signed Neil Wells [signature] Trustee – Animal Welfare Institute of New Zealand (AWINZ).

Note: Neil Edward Wells signed the letter to the Waitakere District Council dated 28 October 1999 and the accompanying application form, identifying himself as “Trustee” of AWINZ”.

However, no signed Deed of Trust has ever been produced by the Settlor, Neil Edward Wells, to prove that AWINZ had ever been established as a legal entity in 1999 or any time prior to 1 March 2000. At best,  in 1999 it was nothing more than a concept in his head or a trading name he used, or intended to use, for his services rendered to the Waitakere City Council.

In a carefully crafted letter written to the Secretary of “Beauty With Care” (BWC) from Neil Wells, soliciting funding and dated 14 March 2005, he states:

The Animal Welfare Institute of New Zealand has been functioning since its inception in 1998 as the channel for animal welfare inspectors at Waitakere and North Shore Cities. AWINZ is one of only two “approved organisations” recognised by the Minister of Agriculture and gazetted as such. The other one is SPCA.

He signed the letter “Warm regards Neil Wells, Trustee” [AWINZ].

On the AWINZ “Deed of Trust and Revocation” dated 5 December 2006 on the Charities website it states:

“On the 1st day of March 2000 the Settlor [Neil Edward Wells] established a trust for charitable purposes by creating the Trust provided for in this deed.”

On 25 March 2000, Neil Wells wrote to the Hon. Jim Sutton, Minister of Agriculture, as a “Trustee” on behalf of AWINZ (copied to MAF Policy and MAF Biosecurity Authority) and stated:

“This letter addresses issues raised in your letter of 24 December [1999] and in a letter from MAF Policy of 28 January 2000, and other issues since raised by MAF Policy….

“A signed copy of the Deed of Trust will follow. The original is being submitted to the Ministry of Commerce for registration as a charitable trust in accordance with clause 20(a) of the Deed.”

However, no such original signed Deed of Trust or certified copy was ever submitted to the Ministry by AWINZ and the Trust has never been incorporated. No Deed of Trust has ever supplied by AWINZ/Wells to any Minister of the Crown. No clause 20(a) exists in the so-called “original signed Deed of Trust dated 1 March 2000 or the Deed dated 5 December 2006 on the Charities website.

Neil Wells had registered two other trusts in 1999  and he knew that  an applicant sends a certified copy of the deed to the Ministry when applying for incorporation, not the original.  If at the time of writing he still had in his possession the original deed,  he could have sent the minister a certified copy, but he never did. If  he had sent the original to be registered he would  have had the trust registered and there would be an official record of it having been received. There is none.

Minister of the Crown Hon. Jim Sutton, together with Barry O’Neil, Group Director, Biosecurity Authority, had signed a letter dated 24 December 1999, raising serious concerns concerning an application by Neil Wells as “Trustee” of AWINZ, seeking “approved organisation” status, and it stated:

“Mr Wells has promoted the formation of a charitable trust called Animal Welfare Institute of New Zealand (AWINZ).”

Serious questions need to be asked about the AWINZ “Deed of Trust and Revocation” dated 5th December 2006 which is the only version present on the Charities website (www.charities.govt.nz).

QUESTIONS

A. If AWINZ was indeed “established” as a Trust on 1 March 2000, why has its claimed founding Trust Deed dated 1 March 2000 not been registered on the Charities website?

B. Furthermore, why has a copy of the AWINZ “Deed of Trust” referred to in a letter dated 21 November 1999 by the Trust Settlor, Mr Neil Edward Wells, to Hon John Luxton, Minister of Food, Fibre, Biosecurity and Border Control (see below) not been registered on the Charities website? (This Deed of Trust, if it did indeed ever exist, must have preceded the so-called “original deed” dated 1 March 2000. Minister Luxton never received a signed copy of the Deed of Trust).

C. Which is the original signed AWINZ Trust Deed – the one claimed by Wells to have been dated 1 March 2000, or the earlier one referred to in Well’s letter (who signed himself “Trustee” of AWINZ) to the Minister Luxton of 21 November 1999 ?

D. What is the true nature of “AWINZ”, claimed by the Trust’s Settlor, Neil Edward Wells and three other Trustees to have been established on 1st March 2000 and what charitable activities, if any, has it ever engaged in?

Preliminary findings

AWINZ is a “Trust” which has never been incorporated, a fact which is undeniable as anyone with access to the internet can be establish this as fact by checking on the Companies Office website. See: http://www.business.govt.nz/companies/app/ui/pages/companies/otherSearch

AWINZ is not a corporate body and it has certainly never been a charitable trust incorporated under the Charitable Trusts Act 1957, despite suggestions that it is in misleading statements in the Trust Deed dated 5 December 2006, such as:

17. Winding Up and Distribution of Surplus Assets.

On winding up of the Trust OR on its dissolution by the Registrar, all surplus assets after the payment of costs, debts and liabilities shall be given to such exclusively charitable organisation or organisations within New Zealand of a similar nature to the Trust as the Board decides or, if the Board is unable to make such a decision, shall be disposed of in accordance with the directions of the High Court pursuant to section 27 of the Charitable Trusts Act 1957.”  [Emphasis added]  

The sections highlighted reveal the misleading nature of the AWINZ “Deed of Trust and Revocation” registered on the Charities website.

AWINZ has never been an incorporated entity and therefore as such it cannot be dissolved by the Registrar under any Act. Mr Wells would probably argue that the word “OR” in the first sentence of section 17  allows for the Trust’s dissolution by the Registrar in case the Trustees ever went ahead and incorporated AWINZ at some future date. But a Trust Deed must reflect the true nature of the entity at the time its Trust Deed is duly executed and not allow Trustees to engage in obfuscation.

Only the Trustees are able to wind up an unincorporated Trust and it is a relatively simple matter to do so, provided that a majority of the Trustees are in agreement and follow the procedures set out in the Trust Deed relating to winding up the entity.  It is also a relatively simple mater to incorporate such a Trust, rather than wind it up, if the Trustees are in majority agreement on this matter.

It is an exercise in obfuscation to note in the Deed of Trust that on the winding up of the AWINZ Trust it would have to have its assets disposed of in the manner outlined in section 17 –  “pursuant to section 27 of the Charitable Trusts Act 1957“; given that the Trustees have never applied to incorporate it under this Act or any other Act.

The 5 December 2005 “Deed of Trust and Revocation” is also deliberately misleading with respect to the “interpretation” (section 18) of its “charitable purpose”, when it states:

“Charitable purpose” means and includes that term as defined by the Charitable Trusts Act 1957…”

AWINZ has never been incorporated under this Act, so it is misleading to suggest that its purposes as defined in its “Deed of Trust and Revocation” qualify as “charitable” purposes under this Act. Such a claim is mere assertion, unsupported by any factual evidence.

AWINZ  has never been tested against the Charitable objectives assessed in gaining incorporation under the Charitable Trusts Act 1957.

AWINZ was a business, it was always meant to be a business and the territorial animal welfare authority  business plan it/Neil Wells submitted to Waitakere City Council, MAF and other officials  in 1996  proves this as the format  which the approved organisation  AWINZ adopted  and that  this was a business venture as opposed to a  charitable venture.

There is no evidence that the AWINZ trust has done anything of a charitable nature and they have never had the ability to pay for  the legal proceedings that they have been party to in recent years. They have used the  charitable dollar to  derive an income for themselves from the ‘spoils of war of litigation’ (see below).

The AWINZ Deed of Trust (5/12/06) states under section 5 (“Powers”):

“… the powers that the Board may exercise in order to carry out its charitable objects are as follows:

…… (a) To incorporate as a Trust Board under the provisions of the Charitable Trust Act 1957….”

However, no incorporation had been effected by the time this Deed dated 5 December 2006 had been witnessed and duly executed. Nor has incorporation been effected since that date.

The Minutes of the AWINZ Board dated 10 May 2006 state:

“Neil [Edward Wells] advised that the original signed deed [of Trust] had been mis-filed.

“Neil [Edward Wells] and Wyn [Winifred Norien Hoadley] will work on a revision of the deed.

“Deed needs to be finalised in the next four weeks.

“AWINZ has not been registered under the Charitable Trusts Act to date. This needs to be organised.

“IRD approval required.

“It was agreed to seek charitable trust approval with IRD and Charitable Trust Act.”

Here is the explanation for why AWINZ never submitted and has never registered its “original signed Deed of Trust” (assuming one actually existed) with the Charities Commission….

On 10th May 2006 Trust Settlor, Neil Wells informed the Trust Board that the “signed original”  had been “mis-filed” (i.e lost). By the time AWINZ received charity status with the Charities Commission on 28 September 2007, the “original” deed remained “mis-filed” (lost). Then one month after registration the Charities Commission uploaded the AWINZ “Deed of Trust and Revocation” dated 5th December 2006 on to its website. The so-called “signed original” dated 1 March 2000 referred to on page one of the 2006 Deed, has never been filed with the Charities Commission as it should be in line with the law and the principles of honesty, accountability and transparency.

 AWINZ produced one original deed in the court in 2007  and  two “ originals “ in the district court  in 2008 all being copies of the alleged 2000 deed.

On 21 November 1999 Neil Edward Wells, acting “For the Board of Trustees” of  “the Animal Welfare Institute of New Zealand (AWINZ)”, wrote to Hon John Luxton, Minister of Food, Fibre, Biosecurity and Border Control, “to formalise” AWINZ’s application to be declared an approved organisation under the provisions of section 121 of the [Animal Welfare] Act [1999].” This was the only application AWINZ ever made seeking this “approved organisation” status under the Act.

Wells attached Appendices including “Appendix V -Charitable Trust Deed”.

Under the heading “2. Functions of the [Animal Welfare] Institute” he wrote:

A charitable trust has been formed by Deed of Trust as the “Animal Welfare Institute of New Zealand” (AWINZ). It is being registered under Part II of the Charitable Trusts Act 1957. [Emphasis added]. The founding trustees are:

Nuala Grove

Sarah Giltrap

Graeme Coutts

Neil Wells

The Deed of Trust is set out in Appendix V

This letter of application to the Minister of the Crown dated 21 November 1999 claims that AWINZ had been formed by way of  a Trust Deed executed and signed by the four Founding Trustees (named) and that:

“The principal purpose of the Institute is to promote the welfare of animals. The Institute aims, inter alia, to provide a national body to which individual Inspectors will be properly answerable.”

and

“It [AWINZ] is being registered under Part II of the Charitable Trusts Act 1957.”

The problem is that “original” Trust Deed Mr Wells refers to in his letter of 21 November 1999 to Minister Luxton did not exist at the time of writing. The copy supplied to the Minister at the time application for “approved organisation” status was being sought for “AWINZ” was an unsigned and undated Deed of Trust. This signed AWINZ “Deed of Trust” he refers the Minister to in 1999, has never been registered with the Charities Commission and AWINZ has never sought to be incorporated under the Charitable Trusts Act 1957 on the basis of any “Deed of Trust”.

Mark Neeson, Senior Policy Analyst for the MAF, wrote to Neil Wells on 28 January 2000:

“Legal status of the Trust

20. Could you please provide documentary evidence confirming that the Trust has been legally registered under the Charitable Trusts Act 1957.”

Mr Wells, who never supplied any evidence, met with MAF officials before responding to this letter, to put his case that an organisation like AWINZ, which had not been incorporated under the Act , should still be able to apply for and gain “a recommendation for approval … under the provisions of section 121 of the Animal Welfare Act 1999.

In an email dated 17 March 2000 to Mark Neeson of MAF, Neil Wells argued that if AWINZ was required to become an incorporated entity under the Charitable Trusts Act 1957, before its application for approval under the Animal Welfare Act 1999 could even be considered by the Minister and MAF; then this would be unfair. Going through the claimed arduous process with the Ministry of Commerce involving incorporation, he contended, would add “months” to the process before a valid application under the Animal Welfare Act could even be commenced by AWINZ.

In reality the process of incorporating a Trust under the Charitable Trusts Act 1957 was not that difficult at that time (or today) and Wells appears to have deliberately exaggerated the ‘difficulty’ of the task. As noted above, he had incorporated two Trusts earlier in 1999 with little difficulty, so he knew that the process was relatively easy.

Mr Neil Wells pointed out to Mark Neeson that an unincorporated Trust such as AWINZ constitutes a “legal Person” as soon as the Trust Deed has been witnessed and executed by the Trustees and that even though AWINZ was not a corporate body, such as a company or an incorporated society; AWINZ should still be considered as a potentially “approved organisation” under section 121 the Animal Welfare Act. However, his argument was based on the false premise – that a Trust that is not incorporated constitutes an “organisation” as envisaged under the legislation which he had helped to write. For an organisation to be a legal entity in its own right  it must be incorporated, a fact that should have been well understood by Mr Wells – a barrister.

In the email dated 17 March 2000, Mr Wells wrote identifying himself as “Programme Coordinator – Animal Welfare Investigators”, to Mark Neeson of MAF, stating:

“AWINZ can produce evidence that the trust is in being by providing a signed copy of the trust deed and will give an undertaking that it will be registered with the Ministry of Commerce.” [Emphasis added]

Again, as stated above, the Trust was never registered. The only way of doing that was to get it incorporated.

On 25 March 2000 Mr Wells wrote to the Minister – Hon. Jim Sutton:

“A signed copy of the Deed of Trust will follow. The original is being submitted to the Ministry of Commerce for registration as a charitable trust in accordance with clause 20(a) of the Deed.”

There exists compelling evidence that this statement contains falsehoods:

1. As we have already established, AWINZ has never been incorporated as a charitable trust.

2. Neither of the AWINZ Trust Deeds dated 1 March 200 or 5 December 2006, contain a clause 20(a), a clause that Neil Wells referred the Minister to as evidence that the Trustees were duty-bound under the Deed to incorporate AWINZ under the Charitable Trusts Act 1957.

3. It appears that the Minister was deliberately misled by Wells into thinking that the AWINZ Trustees/Board not only intended shortly to have AWINZ incorporated, but were required to do so by law because of clause 20(a) in their Deed of Trust. There is no evidence that any such application for incorporation was ever made or that a clause 20(a) ever existed in the Deed of Trust. It is not in the so-called “original signed Deed of Trust” dated 1 March 2000.

The AWINZ “Deed of Trust and Revocation” dated 5 December 2006, on the Charities website, states:

“On the 1st day of March 2000 the Settlor [Neil Edward Wells] established a trust for charitable purposes by creating the Trust [AWINZ] provided for it in this deed…”

The fact that neither of the Deeds dated 1 March 2000 nor 5 December 2006 contain clause 20(a) – referred to in Mr Well’s letter dated 21 November 1999 to the Minister, proves that the Trust Deed dated 1 March 2000 cannot be the  original Deed of Trust. Alternatively it proves that a clause 20(a) never existed, other than in the mind of Mr Wells.

So why did the Charities Commission allow a Trust whose Settlor, barrister Neil Edward Wells, was unable to produce a copy of its original signed Deed of Trust, to be granted charitable status under the Charities Act 2005?

One can only assume that Charities Commission Registration officials were duped into thinking that AWINZ was in fact an incorporated Charitable Trust, when it was not; and that compliance issues relating to Trust Deeds had all been taken care of by Ministry officials as part of its supposed ‘incorporation’. Without a Statutory Declaration having ever been made with respect of its original Deed of Trust or subsequent versions of it involving elements of revocation, the true status of this “Trust” and the nature of its “charitable activities remain highly questionable and warrant further investigation.
