Graham Dennis HEWER was appointed by John Edward Clancy as director of Derby Grey Ltd (formerly Global Developments (NZ) Ltd), a property development company, effective on the same day as it was put into liquidation – 14 October 2014 owing over one million dollars to creditors. The Director’s Consent Certificate for Hewer was completed by Richard Somerville (Walker Townsend Ltd), the accountant for all Clancy’s companies. Earlier that day at 09:33:24 Somerville filed a document online verifying that all the shares of the company, formerly jointly held by Clancy and FJ40 Trustees Ltd; had been transferred to Graham Hewer – of residential address 87 Byron Street, Sydenham, Christchurch, 8023, New Zealand. Six days later on 20 October 2014 Somerville filed a document stating that John Edward Clancy of residential address 19 Bennington Way, Wigram, Christchurch, 8042, NZ, had ceased being director. The change of the company name to Derby Grey was made effective on 9 October 2014, just five full days prior to the company being put into liquidation by the Special Resolution of its Shareholders under s. 241(2)(a) of the Companies Act 1993.

Graham Dennis HEWER had his business associate John Edward Clancy file a number of documents on 6 May 2015 incorporating a company called Vu Holdings Ltd of which Hewer was to become sole director and a 50% individual shareholder. The other 50% individual shareholder, was recorded by Clancy, in clear breach of the Companies Act, as “FUBA TRUST” without any trustees names noted. (The name of a trust cannot be listed as a shareholder as it is not a “legal person”). The Director’s Certificate and Shareholder’s Certificate Hewer signed was completed by “Fuba Trustees, 245 Heywards Rd, Clarkville, Kaiapoi, 7629, NZ”, as it states on the certificates. (No “Fuba Trustees” are named).

Following the publication by the Society on its website of the allegedly fraudulent documents associated with this company incorporation, and complaints filed by the Society with the Companies Office, Mr Hewer has rather promptly sought to ‘adjust’ the shareholdings records of his company. On Tuesday 21 July 2015 he removed all the shares held by “FUBA TRUST” in VU Holdings Ltd, and transferred them to himself! No letter of authorisation appears to have been been filed by the Trustees of the “FUBA TRUST” validating this ‘shareholding adjustment’. Mr Sommerville the director and owner of Fuba Trustees Ltd has played no role in the filing of, or authentication of the share transfers. It appears that Mr Hewer has unilaterally completed the transfer treating the “FUBA TRUST” as though it does not exist. Ironically, a Trust itself does not “exist” as a “legal person” and Hewer has apparently by-passed both Somerville and Clancy in this manoevre.
The false signatures on the Director and Shareholder Certificates submitted by “Fuba Trustees” with respect to Mr Hewer’s involvement in Vu Holdings Ltd, remains a serious problem that Clancy and Hewer will be required to address in the inquiry that is underway into these matters.
On 29 July 2015 Graham Dennis Hewer has his (pending) “residential address” shifted to 175 Major Hornbrook Road, Mount Pleasant, Christchurch, 8081 , New Zealand. The “Building consultancy service” – Vu Holdings Ltd – he runs, will have this as its new official registered office address and addres for service, replacing its present address which is the same as John Edward Clancy’s newly updated residential address: 245 Heywards Road, Rd 2, Kaiapoi, 7692 , New Zealand.
Hewer’s forthcoming attempt to sever the official address links of Vu Holdings Ltd with that of Clancy’s current residential address in Kaiapoi, is a smart manoevre – but the links remain undeniable – all recorded in the public documents Clancy filed on 6 May 2015 with the Companies Office. Vu Holdings Ltd remains inextricably linked historically to Clancy’s trust – “FJ40 Trust” which currently owns the $547,000 Kaiapoi property he and his wife record as their current residential address.
