Company Directors Porn King Steve Crow and Dermott Malley, Porn Industry, Truth Weekly Tabloid, share transfer and company liquidation

Porn King Steve Crow was appointed co-director on 8 December 2005 of a company directed by Dermott Malley, and Linzi Frances Malley – Computer Shopper (NZ) Ltd (Co. No. 514464) – that is now in liquidation. According to the Liquidator’s Report dated 28 May 2009, it owes $163,550 to Second Ranking Preferential Creditor – the IRD – and $262,528 to over 40 unsecured creditors, with other debts yet to be assessed.

Dermott Malley and his wife were directors of the company from 14 May 1992 to 1 September 2006 and Stephen Peter Crow (Steve Crow) served with them as co-director for 11 months before becoming sole director after they resigned. Under Crow’s leadership the company became insolvent and Crow recommended to shareholders, that it be placed into liquidation on 27 May 2009. The Company is 100% owned by CVC Group Ltd (Co. No. 1738154), of which Crow is currently one of three directors and Dermott Malley is a former director (see below).

After the Malleys resigned as directors of Computer Shopper (NZ) Ltd, Steve Crow changed the company’s name to Vixen Wholesale Ltd on 12 February 2007 and focused on importing and distributing hardcore pornography (videos and DVDs etc). Then on 9 December 2008 he changed its name to Vixen Direct Ltd to market “adult entertainment” (i.e. hardcore porn sleaze). Finally on 1 May 2009 Crow again changed its name to Z4K74D Ltd and 11 days later the company ceased trading.

Dermott Malley, the former director of Z4K74D Ltd (In Liq) is currently CEO of Truth Publications Ltd and Editor-in-chief of Truth Weekly.  50% of the shares of HWGA Co Ltd (Co. No. 661946), a company of which Steve Crow is currently sole director, are registered in Dermott Malley’s name. Mr Malley served as a co-director of HWGA Co Ltd with Steve Crow from 20 April 2006 to 23 January 2008. HWGA Co Ltd holds 40% of the shares of CVC Group Ltd, the company which owns Z4K74D Ltd (In Liq) (formerly Vixen Direct Ltd) and Steve Crow is, as noted, currently one of the three directors of CVC Group Ltd.

The purchase of Computer Shopper (NZ) Ltd (now called Z4K74D [In Liq]) by CVC Group Ltd occurred close to the time the Malleys resigned as directors from the former company. The share transaction was registered with the Companies Office website on 19 September 2006 (entered by Dermott Malley, 18 days after he resigned as Computer Shopper director. The Companies Act 1993 required such transactions to be recorded on the Companies website within 20 days.). Computer Shopper (NZ) Ltd then moved its registered office from Dermott Malley’s residential address at 154 Gilbertson Road, Pakowhai, RD3, Napier, to 45 Stanhope Road, Ellerslie, Auckland, “effective 26 September 2006”.

Immediately prior to CVC Group Ltd purchasing Computer Shopper (NZ) Ltd, the latter was 99% owned by Onyx Capital Limited (Co. No.628538), at that time directed by Dermott and Linzi Frances Malley of 154 Gilbertson Road, RD3, Napier. The remaining 1% of Computer Shopper (NZ) Ltd was owned by Linzi Frances Malley.

(Onyx Capital Ltd is currently a registered company directed by Dermott and Linzi Frances Malley and Patrick Peter Malley residing at 330 Bremner Road, R D 2, Drury 2578. This address is also the registered company’s office address. All its shares are held by Dermott and Linzi Frances Malley and Morrison Kent Partner, Ian Lowish. Oryx Capital Ltd currently owns 41.5% of Truth Publications Ltd of which Dermott Malley is one of three directors each holding one share).

Dermott Malley was a director of CVC Group Ltd from 3 December 2005 to 9 January 2007, climbing quickly on board after the company was incorporated on 29 November 2005, with Steve Crow as one of three foundation directors. Dermott Malley served as director with Steve Crow, who remains a director, for about 13 months. Dermott Malley was a director of CVC Group Ltd when it purchased Computer Shopper (NZ) Ltd on about 1 September 2006, close to the time he resigned as director of the latter.

The issue of conflict of interests naturally arises when a company director is party to a decision involving the purchase of a company he has ownership in and/or his spouse owns. As noted, of the 100 shares in Computer Shopper (NZ) Ltd transferred to CVC Group Ltd in early September 2006, 99 of them were held by Onyx Capital Ltd and one was held by Dermott’s partner Linzi Malley. Prior to the share transfer, 50% (450,000 shares) of Onyx Capital Ltd was owned by Dermott Malley and 50% by Linzi Frances Malley, both residing at 154 Gilbertson Road, RD 3, Napier (Source: On line Annual Return 6/08/07).

Around the time of the transfer of Computer Shopper (NZ) Ltd shares to CVC Group Ltd, the latter company had five directors: Dermott Malley, Stephen Peter Crow, Shirish Daddaram Vagal, Brian Coburn Jewell, and John Andrew Pin (currently as noted, a co-director with Dermott Malley in Truth Publications Ltd). All five directors including Dermott Malley, in particular, must have been aware of Steve Crow’s intention to develop the company purchased off Dermott Malley and his wife into an importer and distributor of hardcore pornography within New Zealand. All had a ringside seat to observe the promotion and dissemination of such material within New Zealand, each reaping – no doubt it would seem – the financial rewards of the lucrative porn industry.

Dermott Malley’s “scandal mongering” and “scurrilous” Truth Weekly tabloid (ref. 1) makes much of its money by advertising porn, and services relating to the sex industry. It also publishes articles sensationalising Steve Crow’s triumphs in sleaze promotion. [Observing] Crow [as one journalist has stated] ‘is to watch first-hand how you go about spreading moral decay and degeneracy through a nation of innocents’ [ref. 2]. He [Crow] uses Malley’s Truth tabloid [ref. 3] to spread this degeneracy and both men have a ring-side seat to watch the moral degeneracy as well as the collapse of four of Steve Crow’s porn companies.
