Steve Crow banned as company director for four years – TV3 News

Kiwi porn businessman Steve Crow has been banned from holding the position of company director for the next four years. He has been served with a notice by the Ministry of Economic Development, but says it’s unfair. Crow is vowing to fight the ban.

“I got served at home on Friday night,” he told Nightline.

“I am banned for four years and it covers not just New Zealand – but New Zealand and Australia.”

The ban is under a section of the Companies Act [s. 385], which is designed to protect the public from directors with a history of unsuccessful ventures. It has been used previously against directors from failed finance companies Five Star Finance and Bridgecorp.

“Personally I don’t believe if I wasn’t Steve Crow and it wasn’t the adult industry, that it would have even raised a flag to anybody.”

NZ shell companies in bribery inquiry – Co. director investigated by NEU

The registrar of the New Zealand Companies Office’s National Enforcement Unit (NEU) is considering a number of charges against a company director after initially finding that an “incorrect residential address” had been provided on “the director consent form” signed by the director. The director is liable for a $5,000 fine if convicted of providing a false statement. [Read more…]

Carr Consulting P.A. and offences against NZ Companies Act 1993

Commerce Minister Simon Power should discuss with officials the registration of companies with overseas directors such as John M Carr, after the recent flare up of controversy over New Zealand hardcore porn companies John Carr co- directs with “NZ Porn King” Steve Crow – which are all linked to a Florida registered professional association (P.A.) shareholder Carr Consulting P.A. Investigators should be looking at flaws in the New Zealand companies registration system that allowed a Texas-based NZ company director, John Malcolm Carr (see photo – http://www.carr.co.nz/images/jmc.jpg), with US and NZ citizenship, to falsely represent the shareholding of four NZ companies he directs (including Velocity Partners Ltd) and get away with it, using a false corporation name “Cuchara Inc” from 14 March 2000 until 16 December 2009.

Companies Act 1993 and Enforcement Issues

Potentially dangerous gaps in New Zealand’s company registration system have been revealed as an investigation continues by the Society into the operations of a number of NZ registered companies owned by a US-registered corporation, as well as the activities of its Principal and registered agent who directs the NZ companies. A NZ-based co-director of one of his other companies is also under investigation.

Liquidators receive complaints regarding Steve Crow’s Erotica Lifestyles Expo 2009 operated by Eden Digital Ltd.

The Liquidator of four companies directed by Steve Crow, Lloyd J Hayward of Meltzer Mason Heath,  received complaints from creditors regarding Erotica Lifestyles Expo 2009 operated by Eden Digital Ltd, a porn company directed by Crow and US based tax consultant and property developer John Malcolm Carr. Mr Carr is Principal of Carr Consulting P.A. (Professional Association) based in the US, which owns four NZ registered companies that he directs. The Expo promoting hard core porn & sleaze was held at the ASB Auckland Showgrounds from 25-27 September 2009.

Lloyd J. Haward, in his 6 monthly Liquidator’s Report on Malibu Media (formerly Erotica Expo Ltd) dated 30/11/09 , records that the complaints from creditors were “referred to the National Enforcement Unit at the  Ministry of Economic Development.” This is where the Society, which is not a creditor, has lodged its formal complains against the actions of company directors Crow and Carr.
