Prosecuting directors of foreign-owned NZ-registered companies

John Malcolm Carr CPA (see photo:http://www.carr.co.nz/images/jmc.jpg ), an American businessman, faced eight criminal charges in Courtroom 2 of the Auckland District Court at 10AM on Tuesday 31 August 2010, involving offences he was alleged to have committed under the Financial Reporting Act 1993.

The charges relate to four companies that he is sole director of, that up until 16 December 2009 were ALL listed on the NZ Companies Office On-line Records (www.companies.govt.nz) as owned by a US-corporation Cuchara Inc. registered in Florida. The four NZ-registered companies are Velocity Partners Ltd, Shelf Company No 10 Ltd, First Virtual Deposit and Nominee Company Ltd, and PJ Digital Ltd: all owned by the foreign entity Cuchara Inc., that Mr John M Carr CPA directs. The name Cuchara Inc. was changed by John M Carr in 1999 to Carr Consulting P.A., but this change was not recorded on the NZ Companies Office Records as required by law until 16/12/2010 (see below). Steve Crow: Vixen Publications Ltd and Sidefx Ltd – face permanent removal

Today the Registrar of Companies Mr Neville Harris has announced his intention to remove two companies formerly directed by banned director Steve Crow, from the Register under section 318(1)(b) of the Companies Act 1993 (see Company removal notices  www.companies.govt.nz). They were both involved in the hardcore pornography industry and are owned by CVC Group Ltd which is directed by a San Antonio Texas based certified public accountant (CPA), Mr John Malcolm Carr. John M Carr: Compliance Issues and the Companies Act – complaints raised

An American businessman, John Malcolm Carr (see photo links below), who has NZ-US dual citizenship and is a director of New Zealand companies linked to pornographer Stephen (Steve) Peter Crow, is intending to plead guilty to eight criminal charges involving breaches of the Financial Reporting Act 1993, when he faces the Auckland District Court at 10 AM on Tuesday 31 August. This is what his lawyer, Mr Alan Bevan McKay of Checketts McKay Law, Cromwell, informed the Deputy Registrar of the Court via email on Thursday 12 August, when the case was called in the Court.

Another Porn CVC Group Ltd director quits – Only John Malcolm Carr left

Media insiders are suggesting that the megalomaniacal managerial mantle of “Porn King” of New Zealand may now have migrated from Steve Crow to John Malcolm Carr CPA (see photo links). Why?

Answer: Shirish Daddaram Vagal of Bucklands Beach Auckland has just resigned as director of porn ‘mother company’ CVC Group Ltd. The resignation was registered on the Companies Office website by Steve Crow on 19 May and made effective from 14 May 2010. Steve Crow who resigned as director on 15 May 2010 was served a banning order on Friday night 14 May, preventing him holding a company directorship for four years in Australia and/or New Zealand, issued by the Ministry of Economic Development. These two resignations leave John Malcolm Carr – in the proverbial sense – ‘holding the [porn] baby’ – as he is now the sole director of porn ‘mother company’ CVC Group Ltd and the sole director of hardcore porn company Eden Digital Ltd. (Mr Shirish Vagal and his wife Gulshan Shirish Vagal still own 180,000 shares in CVC Group Ltd).

John M Carr and the peripatetic, puzzling, pliable, P.A. shareholder

Late on Wednesday evening 16 December, company director John Malcolm  Carr  (see photo – http://www.carr.co.nz/images/jmc.jpg) changed the registered name of the listed shareholder of four New Zealand registered companies he directs, from “Cuchara Inc” to “Carr Consulting P.A.”  By doing so he confirmed the Society’s contention (see Dec. Newsletter) that he had been using an incorrect US-based corporation shareholder name for about nine years in his annual returns.  The Society is correct to have asserted that all the shares are in fact held by a professional association  (P.A.) authorised to render financial planning advice and related services in Florida through Better Business Services Inc, which Carr directs from his office in the US.
