Former sex expo firm – Eden Digital Ltd – owes $350,000 – NZ Herald 16 June 2012

The company that held the licence for a sex expo allegedly still owes creditors more than $350,000, according to its liquidator’s latest report.

In 2008 Auckland-based Eden Digital was given the licence to run the Erotica Lifestyle Expo – an event “targeted at adult consumers” which has been held in Auckland and some other North Island centres for more than a decade.

The event was often preceded by the Boobs on Bikes parade, which featured topless women riding on motorcycles.

But in November last year Eden Digital was placed into liquidation after its licence for the expo was cancelled by its shareholder CVC Group.

CVC is also the sole shareholder of Esprit Events, the new licence-holder for the expo.

After the cancellation, Eden Digital’s income was “decimated”, liquidator Grant Reynolds said.

According to a report Reynolds filed with the Companies Office this week, Eden Digital allegedly still owes creditors more than $350,000.

One preferential creditor had filed a claim for $171,792 and seven non-preferential unsecured creditors had filed claims totalling $183,901, the report said.

At the time of liquidation it was estimated the company owed $434,000.

A list of creditors when the company was first liquidated included Inland Revenue, ACC, ASB Showgrounds and Marquis Condoms.

According to Reynolds, Eden Digital was sold to a related party shortly before he was appointed and he is investigating this sale, as well as any possible voidable preferences.

A voidable preference is a payment of debt made before liquidation which a liquidator can apply to call back on the grounds it unfairly privileged some creditors over others.

Reynolds is also investigating any possible Companies Act breaches.

Pornography industry heavyweight Steve Crow is a former director of Eden Digital, according to Companies Office records. In 2010, Crow was banned from acting as a director for four years after the collapse of companies linked to him.

Hamilton City Council’s near miss as sexpo firm folds

The company wanting to host a sex expo at Claudelands went into liquidation the same day it asked the Hamilton City Council to agree to the show.

Councillor Dave Macpherson said the council had had a lucky escape despite not being aware of the financial situation when it voted 9-1 last week against hosting the Erotica Lifestyle Expo.

Eden Digital Ltd, which held the licence for Erotica Lifestyles Expo, was put into liquidation on November 22 and, according to the liquidator’s report, struggled to attract large numbers to the event and had suffered cashflow problems.

Auckland-based liquidator Grant Reynolds said sole shareholder CVC Group director John Carr appointed him to liquidate the company after realising it had no way to repay its debts.

CVC Group removed the licence for Erotica from Eden Digital “some months back” and as a result the company had lost its revenue-earning ability.

This month CVC set up Esprit Events, which is the new licence-holder for Erotica.

Eden Digital went into liquidation owing $434,000 [most of it to IRD] and Mr Reynolds said it was unlikely any of the unsecured creditors would be repaid in full.

ASB Showgrounds in Auckland is among the unsecured creditors. [It had served as a venue for Erotica Lifestyles Expo for some years, but recently its management ended its contract with the Expo organisers, no doubt due to unpaid bills].

A mobile billboard advertising Erotica Lifestyles Expo that was towed around Auckland city streets, has been ruled degrading of women and offensive and banned. Depicting a nude woman masturbating, it was designed by graphic designer Amie Wee who works for pornographer Steve Crow as an editor of his porn videos and as a writer/graphic designer for his hardcore porn NZX magazine. Erotica Lifestyles Expo is run by Eden Digital Ltd. a hardcore porn company directed by US-based investor John Malcolm Carr – Steve Crow’s “business partner”.

The marketing of hardcore pornography and prostitution services via websites by those holding both US and New Zealand citizenship raises a number of tax issues, when such persons operate as sole directors and shareholders of companies incorporated in New Zealand as well as publicly listed and private investment companies in the US.

The Companies Act 1993 requires all directors of New Zealand companies to record their residential addresses in their Annual Returns and a failure to do so and/or to promptly update such addresses can lead to them being convicted of breaches of the Act.

Mr John Malcolm Carr records his residential address for years on his company’s annual returns as 289, Cornish Point Road, Cromwell, 9384 , New Zealand.

Ministry targets porn mogul – Herald on Sunday

Steve Crow says he will fight a government inquiry into a possible breach of a management ban following four collapsed businesses.

When Steve Crow embarked on building a homegrown porn empire he vowed he would never lock himself away in a dark room with a fake name. It is this willingness to put his “head above the parapet”, he claims, that has got him into trouble.

On April 16, after the collapse of four of his companies, Crow was banned from managing any business for four years. He was forced to resign his directorships and brought in brother David to run the companies. Crow continued to work in the office as a “consultant”.

Now, the Herald on Sunday has learned the Ministry of Economic Development is looking into whether he has breached the management ban. Anyone convicted for such a breach can face up to five years in jail and fines of up to $200,000.

Crow is fighting back. He’s considering seeking a judicial review and suing the ministry for discrimination. It is the culmination of a lifelong battle with the establishment.

Naked Woman Billboard ruled unnacceptable – NZPA

The billboard image of a naked woman on all fours with a large arrow provocatively placed below her and preceded by the words “entrance this way” was an unacceptable way to advertise the Erotica Lifestyles Expo, the Advertising Standards Authority decided.

The Erotica Expo, promoted by [the hardcore porn company] Eden Digital and its former director, porn tycoon Steve Crow, is an adult entertainment convention held annually. Steve Crow resigned from the company in May. [John Malcolm Carr has remained on as its sole director].
