Since July 2009 the New Zealand Companies Office has been unable to make any direct contact with Company director John Malcolm Carr, a San Antonio Texas based businessman, despite having used all the known addresses he has provided to the Office to serve documents on him (pers. comm. MED/NEU).

Steve Crow: Vixen Publications Ltd and Sidefx Ltd – face permanent removal

Today the Registrar of Companies Mr Neville Harris has announced his intention to remove two companies formerly directed by banned director Steve Crow, from the Register under section 318(1)(b) of the Companies Act 1993 (see Company removal notices  www.companies.govt.nz). They were both involved in the hardcore pornography industry and are owned by CVC Group Ltd which is directed by a San Antonio Texas based certified public accountant (CPA), Mr John Malcolm Carr. Having spent almost a year unsuccessfully seeking to contact American businessman John Malcolm Carr, director of two porn companies, at his listed “residential address” in Remuera, Auckland; National Enforcement Unit officials from the Company Office may need to look elsewhere to serve him, should the need arise to lay further charges against him under the Financial Reporting Act 1993 [FRA] or Companies Act 1993. With the flurry of media interest generated by the recent Stuff News story on the non-Court appearance of Mr Carr and his “attorney” on Thursday last week, where he was to have faced eight charges under the FRA in the Auckland District Court, the hunt has been on to locate his mysterious whereabouts. An anonymous tip-off received by the Society has pointed us to a new posting on a website relating to Mr John M Carr’s property and tax affairs. Taxes assessed for the 2009 tax year relate to a modest apartment he and his wife Angelika G Carr own at 4119 Medical Drive, San Antonio, Texas.

John Malcolm Carr, a San Antonio Texas based businessman, is the sole director of Eden Digital Ltd, the hardcore porn company behind the porn promo street event that will be staged tomorrow (Wednesday 11 August) on Queen Street, Auckland, commencing 12.30 pm and designed to titillate and offend the public in the CBD. A significant media contingent is expected the next day (Thursday) at 9 am at Courtroom 5 of the Auckland District Court to see the same Mr John Malcolm Carr face eight serious criminal charges brought against him as company director by the Ministry of Economic Development (MED) for his alleged breaches of the Financial Reporting Act 1993. Banned Company Directors prone to hubris, humbug and hooliganism

When a company director is prohibited by the Registrar of Companies under section 385 (3) of the Companies Act 1993 from taking part in any matter relating to the directing or management of any company for four years , the Registrar must take action when such a director publicly disregards this prohibition and brazenly flouts the law. Such a director “commits an offence and is liable on conviction to the penalties set out in section 373(4) of this Act…. A person convicted of an offence for failure to comply with the Act… is liable to imprisonment for a term not exceeding 5 years or to a fine not exceeding $200,000.” [Read more…]
